Members Present: Pat Berryman, Dale Ross, Tommy Gonzalez, John Marier, John Kiltz Members Absent: Staff Present: Paul Brandenburg, General Manager, Mick Rundell, Finance Manager, Mark Thomas, Economic Development Director, Shirley Rinn, Executive Assistant to the City Manager, Mark Sokolow, City Attorney Regular Meeting Called to Order at 2:OOpm Consideration and approval of the minutes from the Meeting held Monday, November 1, 2010 --John Kiltz, Secretary Motion by Ross second by Mader to approve the minutes from the Meeting held November 1, 2010. Approved (4-0, Kiltz Absent) B. Consideration of the October 31, 2010 Financial Report--Micki Rundell, Finance Manager Kiltz arrived at 2:05 p.m. Rundell told the Board that the September Sales tax is 14.74% higher than it was a year ago. This is the 4th straight month of double digits and sales tax is 7.14% higher for the year. Rundell said it looks like we are back on track with the 2008 figures. Discussion regarding historical sales tax figures. She also told them the fund balance is very healthy at 53.7M that is available for use for approved projects. C. Discussion and possible action regarding the approval of a Performance Agreement between GEDCO and McIntosh Holdings, LLC in an amount not to exceed 514,187.50 for electrical improvements --Paul E. Brandenburg, General Manager Brandenburg provided an overview of the history of the item. He told the Board that he now has a receipt for the work performed. Discussion regarding all of his outstanding issues and whether this item is an eligible project due to the project already being completed. Item discussion is postponed until after Executive Session. No action was taken on this item. D. Discussion and possible action regarding the utilization of Promotion Funds to retain a consultant to market Downtown to wineries --Mark Thomas, Economic Development Director Thomas provided art overview of the request to hire Gene Richards as a consultant to market wineries for Georgetown as part of the Winery Initiative. Discussion regarding Mr Richard's background and credentials. Staff recommendation is to hire Mr. Richards for at least 6 months at a yet undetermined hourly rate plus travel and expenses for up to an amount not to exceed S20,000. There would be performance measures in place for him to make at at least 12 site visits and bringing 1 to 2 wineries to Georgetown. Discussion regarding placing parameters on travel expenses. Discussion regarding requirements for Council Approval on contracts and agreements. Motion by Berryman second by Marler authorizing staff to negotiate a contract for 3 months not to exceed S10,000 with Gene Richards to market wineries for Georgetown with the option to extend the contract after 3 months. Approved 5-0 Recessed into Executive Session at 2:28 p.m. EXECUTIVE SESSION The Georgetown Economic Development Corporation will meet in closed executive session as allowed by Texas Open Meetings Act (Texas Government Code Chapter 551), as follows: E. Section 551.072. DELIBERATION REGARDING REAL PROPERTY Discussion and possible action to deliberate the purchase, exchange, lease or value of real property for purposes authorized by the Development Corporation Act which discussion in open session would have a detrimental effect on negotiations with third persons. F. Section 551 087. DELIBERATION REGARDING ECONOMIC DEVELOPMENT NEGOTIATIONS. Deliberation regarding commercial or financial information that the corporation has received from a business prospect that the Georgetown Economic Development Corporation seeks to have locate, stay, or expand in or near the territory of the City of Georgetown and with which the Corporation is GEDCO Minutes/November 15, 2010 Page 2 of 3 conducting economic development negotiations; and/or deliberation regarding the offer of a financial or other incentive to a business prospect that the Corporation seeks to have locate, stay, or expand in or near the territory of the City of Georgetown. - Project Blue - Project Lab II - Project Win G. Section 551.071. CONSULTATION WITH ATTORNEY Consultation with attorney regarding legal issues related to agenda items and other matters in which the duty of the attorney to the Georgetown Economic Development Corporation under the Texas Disciplinary Rules of Professional Conduct of the State Bar of Texas. Reconvened into Regular Session at 3:44 p m H. Action out of Executive Session Motion by Berryman, Second by Kiltz to authorize staff to negotiate an Agreement with Project Lab II per the terms discussed in Executive Session.Approved 5-0 Motion to adjourn at 3:45pm.
