The Parks and Recreation Board Subcommittee of the City of Georgetown, Texas, met on Monday ,
December 7, 2009.

Regular Meeting
1. Ca11 to Order
The meeting was called to order at 7:38 pm by Robert Laemel.
2. Roll Call
3. Discussion and possible action on naming the committee
There was discussion on the naming the committee and the decision was FRIENDS OF
GEORGETOWN PARKS AND RECREATION.
4. Discussion on researching the Friends of the Library — Eric Lashley
Eric Lashley explained there are 2 nonprofit groups associated with the library; Friends of the
Georgetown Public Library and the Library Foundation. Lashley explained that he has set up
two other nonprofits. Lashley explained the benefits of a nonprofit corporation and the
disadvantages. He stated that if you are setting up another nonprofit you are creating
competition for other non -profits so you want to establish the purpose and if there is a need
for another nonprofit. Once the group has a clear purpose and mission a committee will be
formed and by-laws will be created. Lashley serves as an exofficio member of the board for
Friends of the Library and recommends that the parks director or the director of community
service serve in this capacity for the Friends of Georgetown Parks and Recreation. Lashley
stated the State of Texas requires by-laws and the steps are easy to follow. Once the by-laws
are in place there should be a start up fee established and usually the first members will
donate money to start as there will be some registration fees. Lashley stated that the
committee will need to think about whom in the community would be a good member of this
group and that members of the Parks and Recreation Advisory Board not be on the non-profit
board. Lashley recommended having an attorney and an accountant on the board. Lashley
also recommended having an agreement with the Parks and Recreation Department to
establish the role of the non-profit in relation to the Parks and Recreation Department.
5. Discussion and possible action on adding members to the subcommittee
Laemel suggested everyone bring a friend to the next meeting.
6. Discussion and possible action on setting future meeting
It was discussed and decided that the meeting date, time and place would be the first Monday
of the month at 7:30 pm at the Recreation Center Event Room. The next meeting will be
January 4, 2010.

Houck made a motion to adjourn. The meeting adjourned at 8:24.
