HomeMy WebLinkAboutRES 022806-Q - GHFDC Number of OfficersRESOLUTION NO. ©aa?©to. _ A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF GEORGETOWN, TEXAS REGARDING NUMBER OF DIRECTORS AND OFFICERS OF THE GEORGETOWN HEALTH FACILITIES DEVELOPMENT CORPORATION. WHEREAS, By Resolution No. 961210-M and pursuant to Tex. Health & Safety Code Ch. 221, the City of Georgetown, Texas, as the "Sponsoring Entity," approved Articles of Incorporation and Bylaws creating the Georgetown Health Facilities Development Corporation (`GHFDC") for purposes consistent with the statute; and WHEREAS, state law allows the City Council to determine the number of Directors necessary and appropriate to constitute the Board, provided that the number is not less than three (3), and WHEREAS, by Resolution No. 060804-L the City Council of the City of Georgetown determined that it was to be appropriate to reduce the number of Directors of the GHFDC from six (6) to four (4); and WHEREAS, the City Council determined that it is now appropriate to reduce the number of Directors from four (4) to three (3), and WHEREAS, the City Council understands that Esther Weir no longer wishes to serve as a Director of the GHFDC, so the reduction in the number of Directors can be accomplished by removing Ms.Weir from the Board.; and WHEREAS, it is consistent with Tex. Health & Safety Code Ch. 221and in the public interest to reduce the number of Directors of the GHFDC as stated herein. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF GEORGETOWN THAT: Section 1 The City Council herby finds that this Resolution implements Finance Policy 4 of the Century Plan — Policy Plan Element, which states: ` The City shall develop a strategy to provide sufficient financial resources, for both short term and long term needs," and further finds that this Resolution is not inconsistent with or in conflict with any other Century Plan Policies, as required by Section 2.03 of the Administrative Chapter of the Century Plan. Section 2: The City Council of the City of Georgetown hereby reduces the number of Directors of the GHFDC from four (4) to three (3), and removes Esther Weir as a Director. Section 3: Pursuant to Resolution No. 060804-L, the following persons will remain as Directors of the GHFDC for the terms indicated. The Directors and/or the City Secretary and City Attorney are authorized to file the necessary documents, if any, with. the Secretary of State regarding this Resolution. Section 5: The Mayor is hereby authorized to execute, and the City Secretary to attest thereto this Resolution on behalf of the City of Georgetown. Section 6: This Resolution shall be effective immediately upon adoption. RESOLVED this 28th day of February, 2006.
