L A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF GEORGETOWN, TEXAS APPOINTING DIRECTORS AND OFFICERS OF THE GEORGETOWN HEALTH FACILITIES DEVELOPMENT CORPORATION ON BEHALF OF THE CITY OF GEORGETOWN, TEXAS. WHEREAS, By Resolution No. 961210-M and pursuant to Tex. Health & Safety Code Ch. 221, the City of Georgetown, Texas, as the "Sponsoring Entity, ' approved Articles of Incorporation and Bylaws creating the Georgetown Health Facilities Development Corporation ("GHFDC") for purposes consistent with the statute; and WHEREAS, the Directors of the GHFDC have served their original teuus of six (6) years, with officers serving three (3) year terms, and have continued to serve until their successors are appointed as allowed by law; and WHEREAS, the City Council of the City of Georgetown deems it to be appropriate to reduce the number of Directors from six (6) to four (4); and WHEREAS, it is in the public interest to appoint new Directors and Officers to the GHFDC as stated herein. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF GEORGETOWN THAT: Section 1 The City Council herby finds that this Resolution implements Finance Policy 4 of the Century Plan — Policy Plan Element, which states: "The City shall develop a strategy to provide sufficient financial resources, for both short term and long teu.n needs," and further finds that this Resolution is not inconsistent with or in conflict with any other Century Plan Policies, as required by Section 2.03 of the Administrative Chapter of the Century Plan. Section 2: The City Council of the City of Georgetown hereby appoints the following persons as Directors/Officers of the GHFDC for the following terms: Tim Kennedy - President Don Hewlett Bob Brent Esther Weir (Term until June 8, 2007) (Term until June 8, 2010) (Tenn until June 8, 2010) (Tenn until June 8, 2010) Section 3. The Directors and/or the City Secretary and City Attorney are authorized to file the necessary documents, if any, with the Secretary of State regarding this Resolution Section 4: The Mayor is hereby authorized to execute, and the City Secretary to attest thereto this Resolution on behalf of the City of Georgetown.
