OU `0 A — 0 A RESOLUTION APPOINTING THE INITIAL MEMBERS OF THE BOARD OF DIRECTORS FOR THE SOUTH GEORGETOWN TAX INCREMENT REINVESTMENT ZONE; CONTAINING FINDINGS AND PROVISIONS RELATED TO THE FOREGOING SUBJECT, PROVIDING A SEVERABILITY CLAUSE; AND PROVIDING AN EFFECTIVE DATE. WHEREAS, by Ordinance No. ( the "Ordinance') the City Council of the City of Georgetown created City of Georgetown Reinvestment Zone Number 5, City of Georgetown, Texas", and also known as the "South Georgetown Tax Increment Reinvestment Zone," and which is referred to herein as the "Zone." WHEREAS, the Ordinance also created a Board of Directors for the Zone (the "Board") consisting of seven (7) members, each of which are to be appointed by the City because the City is currently the only taxing jurisdiction participating in the Zone. WHEREAS, Texas Tax Code § 311.009(e)(1) requires each member of the Board to be at least eighteen (18) years of age and either be a resident of Williamson County or a county adjacent to Williamson County, or own real property in the Zone. WHEREAS, Texas Tax Code § 311.009(c ) provides that the term of each Board member shall be two (2) years and allows the terms to be staggered. WHEREAS, Texas Tax Code § 311.009(f) requires the City Council to annually appoint the one member of the Board to serve as chairman for a term of one (1) year that begins January 1 of the following year. NOW THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF GEORGETOWN, TEXAS THAT: Section 1: The foregoing recitals are hereby found to be true and correct, are incorporated herein by reference as if set forth in full, and are adopted as part of this Resolution for all purposes. Section 2: The following persons are hereby appointed as members of the Board of Directors for the City of Georgetown Reinvestment Zone Number 5, City of Resolution No. 0(,.1 O 1 — O South Georgetown Tax Increment Reinvestment Zone Board of Director Appointments Pagel of 3 Georgetown, Texas", a/k/a the "South Georgetown Tax Increment Reinvestment Zone," for the initial terms shown in the table below: SOUTH GEORGETOWN TIRZ BOARD OF DIRECTORS Name Title (if applicable) Board Position Patty Eason City Council Member, District No. 1 1 (Board Chair) Mark Thomas City Economic Development Director 2 Glenn Dishong City Utility Director 3 Andrew S ur in City Planning Director 4 Buddy Yaeger Chairmen, Georgetown Utility System (GUS) Advisory Board 5 Dale Ross Mayor, City of Georgetown 6 Bill Conner President, Georgetown Transportation Enhancement Corporation (GTEC) 7 Section 3: The Board members initially appointed to Positions Two, Four and Six shall be appointed to one (1) year terms beginning on the effective date of the Zone. All subsequent appointments shall be for two (2) year terms. The person appointed to Board Position One is hereby designated as the Board Chair for the term beginning on the effective date of the Zone, and ending upon the expiration of the initial term of Position One. Thereafter the City Council shall annually appoint a Board member to serve as Board Chair for a term of one year beginning January 1 of the following year. The City Council authorizes the Board to elect from its members a vice chairman and such other officers as the Board sees fit. Notwithstanding the foregoing, the term of any elected official serving on the Board shall automatically expire when their term in said office ends, and the term of any City employee serving on the Board shall automatically when they no longer hold their position. Section 4. If any provision, section, subsection, sentence, clause or phrase of this Resolution, or the application of same to any person to set circumstances, is for any reason held to be unconstitutional, void or invalid, the validity of the remaining provisions of this Resolution or their application to other persons or set of circumstances shall not be affected thereby, it being the intent of the City Council in adopting this Resolution that no portion hereof or regulations connected herein shall become inoperative or fail by reason of any unconstitutionality, voidness or invalidity of any portion hereof, and all provisions of this Resolution are declared severable for that purpose.
