WHEREAS, the City of Georgetown, Texas ("City") seeks to promot-
tourism, convention activity, and historical and cultural activity within th-
City; and,
WHEREAS, a half-time secretary/receptionist is needed to provid-
support services for the Convention & Visitors Bureau Office; and,
WHEREASI the City pays the Georgetown Industrial Foundation for one
half salary for the secretary/receptionist and the GIF provides for th-
remaining salary and benefits-, and,
WHEREAS, the City wants to provide for one-half of the cost for a salar,
increase and added benefits for the secretary/ receptionist; and,
WHEREAS, the GIF will provide the remaining one-half of the cost for th-
salary increase and added benefits for the secretary/ receptionist; and,
W11KREAS, the City desires to amend Section H_ Funding, Paragraph 101
the funding agreement approved by the City Council on October 4, 1990, wit.:

NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF

Georgetown Industrial Foundation, for providing operational services to the
Convention & Visitors Bureau to assist in the promotion of tourism,
conventions, historical and cultural activity, and commits to providing one-
half of the salary and added benefits for the secretary/receptionist to
assist the Convention & Visitors Bureau Director and maintain daily on-going
programs of the Convention & Visitors Bureau Office. A copy of the original
agreement is attached as Exhibit A.
The Mayor is authorized to execute this resolution and the City
Secretary to attest thereto. This resolution shall make the amendment to the
contract effective beginning May 20, 1991.

EXHIBIT A

This is an agreement between the City of Georgetown, a Texas Home Rule Tiunicipal
Corporation (hereinafter "City"), and the Georgetown Industrial Foundation, a Texas corporation
(hereinafter "GIF"), for the City to provide funding for tourism and related services received from
GIF for the fiscal year from October 1, 1990 through September 30, 1991.
The City seeks to promote tourism, convention activity and historical and cultural activity
within the City, through the receipt and disbursement of hotel/motel tax funds. GIF agrees to
provide a half-time secretary/receptionist for the Tourism Office. GIF further agrees to provide
part-time workers to be used on an as -needed basis for tourism activities and. projects during the
year. Additionally, GIF agrees to provide office space for the Tourism Office and staff.
In consideration for the services to be provided by GIF, the City agrees to pay an amount
not to exceed one-half of the salary of the secretary/receptionist, which shall not exceed a total
of $ 5,500.00 annually to be funded from hotel/motel taxes. GIF agrees to be responsible for the
remaining one-half of the salary and for all associated costs for benefits provided for this
positions. The parties agree that the person filling this position shall be considered an employee
solely of GIF and not an employee of the City.
The City further agrees to pay an amount not to exceed $5.00 per hour for part-time
workers to be used on an as -needed basis, which amount shall not exceed a total of $1,000.00
annually to be funded from hotel/motel taxes. The parties agree that the people filling these part-
time positions shall be considered employees solely of GIF and not employees of the City.
Funding by the City shall be from the receipts of the seven per cent (7%) hotel/motel
room occupancy tax in an amount not to exceed the amounts specified above, but in no instance
shall the total paid exceed the documented expenditures made by GIF under the terms of this
Agreement. Payment will be made on a monthly basis for expenses incurred with any
unexpended funds to be returned to the City at the end of the City's fiscal year.
GIF agrees to use the funds as specified in this Agreement and in conformance with
applicable state and local laws. GIF agrees to follow the direction of the Georgetown Tourism
Development Board (hereinafter "Board") and/or the Director of Tourism regarding the use cS
these funds as set forth by the Strategic Plan and Marketing Plan for the Board. GIF shal
provide a quarterly report to the Board of expenditures for funds received. GIF agrees to perm
an audit by the City of these expenditures by the City's designated auditor.
This Agreement shall not be altered, waived, amended or extended, without the prior
written consent of both parties.
GIF may not assign this Agreement to another party without the prior written consent of
the City. All notices regarding assignment shall be given as provided in Paragraph V. It is

further agreed that this Agreement shall be binding upon the administrators, executors and assigns
of the parties.
Either party may terminate this Agreement upon thirty (30) days written notice to the
other party. Such notice shall be hand -delivered or sent by certified mail, return receipt
requested, to the following addresses:

Upon notice of termination, all obligations under this Agreement shall cease and the City shall
only fund those expenses that actually were expended up to the notice of termination.
