Also present were Fire Chief John Sullivan, and Linda White, Staff Liaison Office Specialist. Legislative Regular Agenda B. Consideration and possible action to approve minutes of the meeting held on March 19, 2018 — Gene Jantzen, Board Chair. Tiffany Enos moved to approve the minutes from the meeting held on March 19, 2018. Ginny Hahn seconded the motion, which the Board approved unanimously. (6-0) C. Update on services and programs provided by Georgetown Fire/Medical Services - John Sullivan, Fire Chief, Georgetown Fire Department. Fire Chief John Sullivan gave an overview of various medical services needed and provided by the Emergency Medical Services staff over the past several months. Discussion occurred. Chief Sullivan shared information from a commentary that was published in the Austin American Statesman and a publication of Fort Worth's recent survey regarding their participation in their Age Friendly Community Initiative. Chief Sullivan will forward these two publications to Linda to send to the Commission. D. Discussion and possible action on "Elder Friendly Design" pamphlet suggesting builders consider design elements that go further than,the legislated ADA requirements — Ginny Hahn, Vice Chair, Commission on Aging. Commission reviewed the pamphlet. Ginny shared that she is trying to schedule another appointment with Wayne Reed, Assistant City Manager, to further discuss the pamphlet design and distribution. E. Discussion and possible action on Georgetown Senior Expo — Virginia Lazenby, Commission on Aging. Ms. Lazenby distributed notes that gave an update on the status of the plans for the Senior Expo. Discussion occurred. Commission on Aging April 16, 2018 F. Presentation entitled "The Five Essentials of Health" featuring "Brain Fit" to benefit seniors' overall wellness — Dr. Kelsey Keen, Keen Family Wellness. Dr. Keen's presentation centered around five essentials to good health: chiropractic care, the right mindset, pure and simple nutrition, exercise and oxygen, and minimizing toxin exposure. G. Discussion and possible action of retaining current Priority Initiatives: Communication, Transportation, Dental Care, Affordable Housing, Mental Health, Legal Aid — and possibly incorporating new Priority Initiatives — Gene Jantzen, Board Chair. Chairman Jantzen gave the results of the Commissioners' I", 2❑d, and 3`d choices of the initiatives that they would prefer to work with. They are as follows: Dennis Dalrymple - #1Transportation Dan Bonner - # 1 Communication, #2 Affordable Housing Beverly Stehle — ad hoc to whomever needs assistance Virginia Lazenby — Senior Expo Sharon Covey - # 1 Dental, #2 Communication, #3 Legal Aid Ginny Hahn - # 1 Communication Tiffany Enos - # 1 Communication, #2 Senior Expo Bernie Farkas — will report in May Discussion occurred regarding Ginny's suggesting a new priority initiative, "Neighbors Helping Neighbors". Commission suggested Ginny and Dan Bonner meet with several members of the Ministerial Alliance to begin getting some basic ideas together, various suggestions and resources on how people can help each other. Ginny will report to the Commission at a future date. H. Discussion of future agendas and priorities — Gene Jantzen, Board Chair. The May agenda will include Virginia Lazenby giving updates on the Georgetown Senior Expo; Nat Waggoner, Long Range Planning and Susan Watkins, Housing Coordinator, will update the Commission on housing for seniors; Marcia Espinal, Director of Community Engagement & Advancement at The Arc of Texas, will present about the agency. Adjournment The next Commission meeting will be Monday, May 21, 2018 at 6:00 p.m., at the Public Safety Facility, 3500 DB Wood Road, Georgetown, Texas. The meeting adjourned at 7:55 p.m. on a motion by Virginia Lazenby, seconded by Dennis Dalrymple, which the Board approved unanimously. Page 4 of 4 Page 14 of 146 Services Agreement This agreement is entered into by the City of Georgetown located at 300-1 Industrial Ave Georgetown, Texas 78626 (Contractor) and Texas State University located at 601 University Dr. San Marcos TX 78666 (University). 1. Term and Termination. (A) This agreement is effective as of April 1, 2018 and shall terminate on October 31,2018. (B) Either party may terminate this Agreement sooner for any reason by giving the other party at least 30 days' written notice of its intent to terminate. Upon termination, the Contractor will pay the University for all work completed prior to the date of termination and for any non -cancelable obligations that the University has incurred in connection with this Agreement. 2. Scope and Consideration. (A)The University will perform the work set forth in Exhibit A. (B)The Contractor will pay the University as provided in Exhibit B. 3. Liability. (A) Each party agrees to be solely responsible for the wrongful acts of its own employees, contractors, and agents. However, nothing contained herein shall constitute a waiver by either party of its sovereign immunity. (B) Neither party will be liable to the other under this Agreement in an amount that exceeds the payment that the University will receive from the Contractor or for any special, consequential, incidental, or exemplary damages, including damages for lost profits, savings, or business opportunities. 4. Copyright & Publication (A) Project Intellectual Property "Project Intellectual Property" means the legal rights relating to inventions copyrights, trademarks and service marks, mask projects, and computer software first made or generated in performance of the project described in this Agreement. (B) University retains title to Project Intellectual Property first produced -solely by its employees under this agreement. Jointly developed Project Intellectual Property shall be jointly owned. (C) Either party may publish works based on the data collected under this agreement without prior consent of the other party. Page 25 of 146 (D)Each party grants to the other a non-exclusive, royalty -free right to use Project Intellectual Property for educational and internal purposes, including academic publications. 5. Independent Contractor The parties are acting as independent contractors in this arrangement. Neither party will be an employee of the other, nor will neither party have any claim or right arising from employee status. This Agreement does not create a partnership, joint venture, or other arrangement that would make one party liable for the acts or omissions of the other. 6. Miscellaneous. This is the only agreement of the parties respecting this subject, and it supersedes any prior written or oral agreements between the parties regarding this subject. The parties may not amend this agreement except in writing, dated after the date of this agreement and signed by each party's representative. 7. Venue. This agreement shall be governed, construed and enforced in accordance with the laws of the State of Texas. Any legal action relating to this agreement shall be brought in Hays County, Texas. 8. Disputes. Any dispute arising under this agreement shall be resolved according the regulations established in Texas Government Code chapter 2009. DELIVERABLES Upon conclusion of the work, the University will deliver: • A bi-lingual survey instrument on citizen satisfaction • Statistical analysis of survey results • A report on aggregated regional results • A report on City specific results • An executive summary of results • Content description and summaries of each survey topic • A comparison of results based upon benchmarks of participating cities • Profile of each city surveyed • Profile of survey respondents • Overview of survey research method • Copy of survey instrument • Printing and mailing of surveys • Two presentations to the City Council Fieldwork can be completed by 08/31 /18 or sooner. The reporting will occur concurrently with the fieldwork and can be submitted by 08/31/18. This report can likely be submitted to the City staff responsible for the survey. A final report is expected by 10/31/18. Delays in this submittal date may occur due to city staffs' comments or review. Final invoice is expected at submittal of final report or before 10/31/18. Also present were Fire Chief John Sullivan, and Linda White, Staff Liaison Office Specialist. B. Introductions of current and newly appointed Commission members — Gene Jantzen, Board Chair. The Commission welcomed Sharon Covey as the newest appointed Commission member. Chairman Jantzen asked all Commissioners present to spend 5 minutes sharing about themselves in order for all to get to know each other better. C. Review of the Attendance Policy — Gene Jantzen, Board Chair. Chairman Jantzen reviewed the attendance policy for the Georgetown Commission on Aging. Chairman Jantzen asked all Commissioners to abide by this policy and to notify Linda when an absence is unavoidable. Legislative Regular Agenda D. Annual review and possible action to review the current Commission on Aging Bylaws and make recommendations, if needed — Gene Jantzen, Board Chair. Chairman Jantzen introduced the Bylaws of the Commission on Aging and asked each Commissioner to become familiar with the bylaws. There was no action taken on the Commission on Aging Bylaws. E. Nomination and Election of a Board Vice -Chair — Gene Jantzen, Board Chair. Chairman Jantzen called for nominations for the position of Commission Vice -Chair. Dan Bonner made a motion to re -nominate Ginny Hahn for the position of Commission Vice -Chair. Dennis Dalrymple moved to second the motion re -nominating Ginny Hahn for the position of Commission Vice - Chair. Chairman Jantzen called for any additional nominations. There were none. Discussion and updates regarding A Gift of Time -Adult Day Care — Josie Zamora, President, A Gift of Time -Adult Day Care. Ms. Zamora restated that A Gift of Time is a non-profit adult day care service, specializing in caring for seniors 60 years old or older living with mild to moderate dementia. The organization remains in the planning stage and is gaining more community support. Ms. Zamora and the Board continue looking for a building location. St. David's Foundation has awarded A Gift of Time a grant for Capital Improvement as well as an Operational Grant. Ms. Zamora will return in a few months to update the Commission. I. Discussion and possible action of retaining current Priority Initiatives: Communication, Transportation, Dental Care, Affordable Housing, Mental Health, Legal Aid — and possibly incorporating new Priority Initiatives — Gene Jantzen, Board Chair. Chairman Jantzen gave an overview of the current Priority Initiatives and their purposes. Chairman Jantzen encouraged Commissioners to consider the current initiatives and rate 1", 2°d, and V the initiatives that they would prefer to work with. Also, the Commissioners were encouraged to suggest new initiatives for the Commission to consider incorporating. Chairman Jantzen asked each Commissioner to submit to him, before the April meeting, their Priority Initiative choices, including any new priority initiative. These will be discussed and assignments made during the April meeting. J. Discussion of future agendas and priorities — Gene Jantzen, Board Chair. The April agenda will include Fire Chief John Sullivan providing an update on services and programs; Virginia Lazenby updates on the Georgetown Senior Expo; and Dr. Kelsey Keen will present about 5 essentials of health and being brain fit. Nat Waggoner, Long Range Planning and Susan Watkins, Housing Coordinator, will update the Commission on housing for seniors either in April or May. Marcia Espinal, The Arc of Texas, visiting the Commission meeting, indicated that she would be interested in presenting to the Commission about The Are of Texas, maybe in May. Chairman Jantzen asked Virginia Lazenby if there was an update she would like to share pertaining to the Georgetown Senior Expo. Ms. Lazenby distributed notes in reference to members of the advisory committee members, a meeting with Hugh Brown and Shelby Holcomb of St. David's Hospital, draft of event schedule, and a list of estimated income and expenses. The Senior Expo will be on the April agenda. Adjournment The next Commission meeting will be Monday, April 16, 2018 at 6:00 p.m., at the Public Safety Facility, 3500 DB Wood Road, Georgetown, Texas.
