A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
GEORGETOWN, TEXAS, AUTHORIZING ACCEPTANCE OF A
MAINTENANCE AND PEDESTRIAN ACCESS EASEMENT ACROSS
APPROXIMATELY 10.919 ACRES OF LAND FROM CSW WOLF, LP.
WHEREAS, CSW Wolf, LP (CSW), is in the process as developing two tracts of
land out of the Clement Stubblefield Survey, Abstract No. 558, said tracts being portions
of the property described in Document No. 2009089202 of the Official Public Records of
Williamson County, Texas, located at the southeast corner of University Boulevard/State
Highway 29 and IH -35 (the Property); and,
WHEREAS, CSW and the City of Georgetown (the City) wish to ensure the
construction of a trail across a portion of the Property to allow pedestrian access to and
across the Property and to connect the Property to other sections of the City's existing
and planned trail network (the "Trail"); and,
WHEREAS, in order to allow the City to construct the Trail, CSW wishes to convey
to the City an easement across a 10.919 acre portion of the Property, as described and
depicted in the attached Exhibit "A"; and,
WHEREAS, CSW has agreed to grant the necessary easement rights to the City of
Georgetown in a form substantially similar to that document attached hereto as Exhibit
"B"; and,
WHEREAS, it is hereby declared that the City of Georgetown finds it to be in the
best interest of the public to accept this easement, in order to construct and maintain the
Trail.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY
OF GEORGETOWN, TEXAS:
SECTION 1. The facts and recitations contained in the preamble of this resolution
are hereby found and declared to be true and correct, and are incorporated by reference
herein and expressly made a part hereof, as if copied verbatim. The City Council further

finds that the adoption of this resolution is not inconsistent or in conflict with any other
2030 Comprehensive Plan Policies.
SECTION 2. The Mayor is hereby authorized to execute this resolution, and the
City Secretary is authorized to attest thereto on behalf of the City of Georgetown.
SECTION 3. This resolution shall be effective immediately upon adoption.

PORTION OF TRACT THREE, PARCEL ONE, CALLED 412 ACRES, AND BEING OUT OF THE
REMNANT PORTION OF TRACT THREE, PARCEL TWO, CALLED 24.0 ACRES, CONVEYED TO
JAMES DAVID WOLF, RECORDED IN DOCUMENT NO. 2009089202 OF THE OFFICIAL PUBLIC
RECORDS OF WILLIAMSON COUNTY, TEXAS. SAID 10.919 ACRE TRACT OF LAND BEING
MORE PARTICULARLY DESCRIBED BY METES AND BOUNDS AS FOLLOWS:
COMMENCING at a cotton gin spindle found monumenting the northwest corner of said remnant
portion of the 412 acre Wolf tract and the northeast corner of a called 36.815 acre tract of land
conveyed to the State of Texas, recorded in Volume 466, Page 276 of the Deed Records of
Williamson County, Texas, same being on the intersection of the south right-of-way line of State
Highway No. 29 and the east right-of-way line of Interstate Highway No. 35, from which a 1/2" iron rod
found monumenting the northwest corner of a called 1.375 acre tract of land conveyed to Lehigh Gas
Wholesale Services, Inc., recorded in Document No. 2015001881, of the Official Public Records of
Williamson County, Texas, same being on the northeast corner of said remnant portion of the 412
acre Wolf tract, same being on said south right-of-way line of State Highway No. 29, bears
N 84°27'09" E for a distance of 28.52 feet;
THENCE, with the west boundary line of said remnant portion of the 412 acre Wolf tract, said east
right-of-way line of Interstate Highway No. 35 and the east boundary line of said 36.815 acre State of
Texas tract, the following three (3) courses and distances:
S 36°05'01" W for a distance of 166.49 feet to an iron rod found with cap marked "CS LTD",
monumenting the beginning of a curve to the left;
2. With said curve to the left an arc length of 1767.29 feet, said curve having a radius of 3519.71
feet, a central angle of 28046'08" and a chord which bears S 00056'46" E for a distance of
1748.78 feet to a TXDOT concrete monument found monumenting the end of this curve;
3. S 15002'40" E for a distance of 208.52 feet to a calculated point for an angle point and POINT
OF BEGINNING hereof;
THENCE, departing said east right-of-way line of Interstate Highway No. 35 and said east boundary
line of the 36.815 acre State of Texas tract, in part through the interior of said remnant portion of the
412 acre Wolf tract, and in part through the interior of said 24.0 acre Wolf tract the following thirteen

MAINTENANCE AND PEDESTRIAN ACCESS EASEMENT

KNOW ALL MEN BY THESE PRESENTS:
COUNTY OF WILLIAMSON
That CSW WOLF, LP, a Texas limited partnership, whose current address is 1703 West 5th Street,
Suite 850, Austin, Texas 78703, and its successors and assigns ("Grantor"), for and in
consideration of the payment of ONE AND NO/100 DOLLARS ($1.00), and other good and
valuable consideration, in hand paid to Grantor by the CITY OF GEORGETOWN, TEXAS, a
Texas home -rule municipal corporation, whose address is P.O. Box 409, Georgetown, Texas
78627, Attn: Georgetown City Manager ("Grantee"), the receipt and sufficiency of which is
hereby acknowledged, has GRANTED, SOLD and CONVEYED and by these presents does
GRANT, SELL, and CONVEY unto the said Grantee, certain rights and interests in the nature of
a perpetual maintenance and public pedestrian access easement (the "Easement") on, over, across
and through the following described property, to wit:
All that certain tract, piece or parcel of land, lying and being situated in the County of
Williamson, State of Texas, described by metes and bounds in EXHIBIT "A" attached
hereto, to which reference is hereby made for a more particular description of said property
(the "Servient Tract").
TO HAVE AND TO HOLD the rights and interests herein described perpetually unto Grantee,
its successors and assigns forever, together with the right and privilege at any and all times to enter
the Servient Tract, or any part thereof, for the purpose of construction, operation, maintenance,
repair, replacement, or upgrade of sidewalks, trails, irrigation, landscaping and appurtenant
structures (the "Improvements") within the Easement Area (hereinafter defined), and for access,
ingress and egress over the Easement Area for public pedestrian access purposes. Grantor does
hereby bind itself and its successors, to warrant and forever defend, all and singular, these rights
and interests unto Grantee, its successors and assigns, against every person whomsoever lawfully
claiming, or to claim same, or any part thereof, by, through or under Grantor, but not otherwise.
The easement rights granted herein shall not exceed twenty (20) feet in width (the "Easement
Area"), and Grantee is hereby authorized to designate within the Servient Tract the course of the
Easement Area herein conveyed, except that upon completion of construction of the
Improvements, the Easement herein granted shall automatically be limited to a specific strip of
land 20' in width, the centerline of the Easement being the sidewalk, trail or pedestrian way as
constructed. Said amendment shall occur automatically following completion of construction of
the Improvements, without any further documentation being required. Notwithstanding, upon
Grantor's request, Grantee will reasonably cooperate to amend or redefine the Easement Area by
executing appropriate documentation, in recordable form, to evidence the limitation of the
easement rights to the specific 20' area upon which the Improvements have been constructed.
The Easement additionally includes the following rights: (1) the right to change the size of the
Improvements located within the Easement Area, and (2) the right to remove from the Easement
all trees and parts thereof, or other obstructions, which endanger or may interfere with the

efficiency and maintenance of the Improvements. Grantee agrees that any impervious cover
utilized in the construction of Grantee's improvements on the Easement Area shall not count
against the maximum impervious cover limitations imposed, but shall be accounted for in
stormwater calculations, as set forth in SECTION 11.02.01 O(D)(5) OF THE CITY OF GEORGETOWN
UNIFIED DEVELOPMENT CODE as it reads at the date of execution of this agreement.
Grantor, its successors and assigns shall retain the right to use the Servient Tract, including, but
not limited to, for the construction of roads, driveways, curbs, sidewalks, light poles, utilities,
buildings and permanent structures; provided, however, that following the completion of
construction of the Improvements and designation of the specific Easement Area as set forth herein
(1) no buildings, or permanent structures of any kind shall be placed, erected or maintained on the
Easement Area; and (2) that structures and improvements allowed within the Easement Area be
installed, constructed and maintained in a manner that does not materially interfere with Grantee's
rights herein as allowed by the City of Georgetown Code of Ordinances Chapter 3.21 and the City
of Georgetown Unified Development Code (both as may be amended from time to time).
Grantor hereby dedicates the Easement Area as a public sidewalk for the purposes herein stated.
The duration of the Easement shall be perpetual; provided, however, that if Grantee does not
complete the construction of the Improvements within ten (10) years following the recordation
date of this Easement, then in such event, this Easement shall be deemed abandoned and be of no
further force or effect.
Grantee shall be solely responsible for any and all maintenance and repairs required for the
Improvements. It is understood and agreed that all equipment and facilities placed on, under, or
within the Easement Area by or on behalf of Grantee, shall remain the property of Grantee.
The Easement, and the rights and privileges granted by this instrument are exclusive to Grantee,
and Grantee's successors and assigns, and Grantor covenants that it will not convey any other
easement, license or conflicting rights within the Easement Area covered by this grant without the
express written consent of Grantee, not to be unreasonably withheld, conditioned, or delayed. The
grantee of any easement conveyed subsequent to this agreement shall bear the responsibility for
repair and replacement of the Improvements if work performed within said future easement results
in the damage or destruction of the Improvements.
Grantee shall have access, ingress and egress over and across a fifteen foot (15') portion of
Grantor's neighboring lands located immediately adjacent to the Easement Area to the extent
necessary to access the Easement Area for the purposes herein stipulated. Additionally, Grantor
agrees to provide Grantee a temporary construction easement (TCE) upon written request of
Grantee. The purpose of said TCE will be to provide workspace and allow access to the Easement
area from a public right of way for construction of the Improvements only. Said TCE shall be on
terms mutually agreeable to both parties, shall not exceed 180 days in duration nor 25 feet in width,
and Grantor shall only be required to grant said TCE on one occasion only under the terms of this
agreement.
Grantee shall, to the extent allowed by law, indemnify, defend and hold Grantor harmless from
and against any and all losses, costs, expenses, actions or claims, directly or indirectly, resulting

from the use, activities, maintenance, repairs or replacement of the Improvements within the
Easement Area by the public and by Grantee and Grantee's licensees, employees, agents, invitees,
contractors, and guests. Grantor shall have no liability whatsoever for the use, activities,
maintenance, repairs or replacement of the Improvements within the Easement Area.
The Easement described herein is conveyed and reserved subject to any and all other restrictions,
easements, utility lines, or other matters or encumbrances affecting the Servient Tract.
This instrument contains the entire agreement between the parties relating to its subject matter.
Any oral representations or modifications concerning this Agreement shall be of no force and
effect. Any subsequent amendment or modification must be in writing and agreed to by all parties.
The terms of this instrument shall be binding upon Grantor, and Grantor's heirs, personal
representatives, successors, and assigns; shall bind and inure to the benefit of the Grantee and any
successors or assigns of Grantee; and shall be deemed to be a covenant running with the land.
