A RESOLUTION AUTHORIZING THE MAYOR
OF THE CITY OF GEORGETOWN TO APPROVE
CONDITIONAL ASSIGNMENT OF RIGHTS AND
PRIVILEGES GRANTED TO BOBBY G. STANTON
IN A LEASE AGREEMENT MADE ON JANUARY 16,
1979 TO SERENADA TENNIS, INC., A TEXAS
CORPORATION WHOSE PRESIDENT AND MAJORITY
SHAREHOLDER IS BOBBY G. STANTON AND AS
AUTHORIZED BY PARAGRAPH 15 OF SAID AGREE-
MENT, WHEN APPROVED BY THE CITY OF
GEORGETOWN.
WHEREAS, The City of Georgetown and Bobby G. Stanton have entered
into a lease agreement for a five acre FBO site located on the Georgetown
Municipal Airport on January 16, 1979; and,
WHEREAS, paragraph 15 of said lease agreement states: "LESSEE
will not assign this lease or any interest herein or sublet the premises or
any portion thereof or any right or privilege appurtenant thereto or allow
any person other than his agents and employees to occupy or use the premises
or any part of them without first obtaining the LESSOR'S written consent there-
to, which consent shall not be unreasonably withheld; and,
WHEREAS, Bobby G. Stanton, under the provisions of paragraph 15 of
subject lease agreement has requested that his interest in said lease be
assigned to Serenada Tennis, Inc., a Texas Corporation, of which Bobby G.
Stanton is president of the corporation and majority shareholder, for the
purpose of obtaining financing for improvements to be located on leased
property; and
WHEREAS, T' _xeorgetown Municipal Airport Board believes this to
be a reasonable re, for assignment, and
WHEREAS, :-'ity Council approves the request for assignment
provided Bobby G. Stanton is not relieved of personal performance on the
lease agreement should Serenada Tennis, Inc, default on any terms or
conditions of said lease agreement; and
WHEREAS, the City Council directs the City Attorney to draft the
assignment document in accordance with council guidance and that all fees,
preparation and recording costs be paid by Bobby G. Stanton; therefore,
BE IT RESOLVED by the City Council of the City of Georgetown that
the Mayor is authorized to approve on behalf of the City assignment of rights
granted to Bobby G. Stanton to Serenada Tennis, Inc. , provided such assign -
merit does not release Bobby G. Stanton of personal performance on the lease
agreement.
ADOPTED this 8th day of May, 1979.
