A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
GEORGETOWN, TEXAS, AUTHORIZING ACCEPTANCE OF A
SIDEWALK EASEMENT FROM BANK OF AMERICA, A NATIONAL
ASSOCIATION ACROSS A 0.16 ACRE PORTION OF LOT 1,
WOODLAKE COMMERCIAL SUBDIVISION, WILLIAMSON
COUNTY TEXAS.
WHEREAS, Bank of America, a national associate (BofA), owns Lot 1, Woodlake
Commercial Subdivision, according to that Document No. 2003088326 of the Official
Public Records of Williamson County, Texas (the "BofA Property"); and,
WHEREAS, as a sidewalk has been constructed across the BofA Property and
BofA proposes to grant an easement over a 0.16 acre area as described in metes and
bounds in Exhibit "A" and sketch in Exhibit "B", attached hereto (the "Easement Area"),
to the City for the operation and maintenance of said sidewalk; and,
WHEREAS, BofA wishes to grant the easement rights Easement Area to the City
of Georgetown by a Sidewalk Easement Agreement in substantially similar to that
document attached hereto as Exhibit "C" (the "Easement"); and,
WHEREAS, it is hereby declared that the City of Georgetown finds it to be in the
best interest of the public to accept the Easement, together with all rights and
responsibilities therein across the Easement Area, in order to provide pedestrian access
to the BofA Property and other properties, and to enhance the since sidewalk network.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY
OF GEORGETOWN, TEXAS:
SECTION 1. The facts and recitations contained in the preamble of this resolution
are hereby found and declared to be true and correct and are incorporated by reference
herein and expressly made a part hereof, as if copied verbatim. The City Council further
finds that the adoption of this resolution is not inconsistent or in conflict with any other
2030 Comprehensive Plan Policies.

SIDEWALK EASEMENT AGREEMENT
THE STATE OF TEXAS
COUNTY OF WILLIAMSON
This Sidewalk Easement Agreement ("Agreement") is made and entered into on this
day of 2020, by and between BANK OF AMERICA, NATIONAL
ASSOCIATION, a national banking association ("Owner"), and the CITY OF
GEORGETOWN, TEXAS, a Texas home -rule municipality ("City"), and is as follows:
RECITALS
A. Owner is the Owner of certain real property located at 4520 Williams Drive,
Georgetown, in Williamson County, Texas, which is more particularly described on Exhibit "A",
attached hereto and incorporated herein by reference (the "Easement Tract");
B. Owner has agreed to grant City a non-exclusive easement and right-of-way upon,
over, through and across the Easement Tract ("Easement"), subject to the terms, conditions and
other matters set forth in this Agreement.
NOW, THEREFORE, for and in consideration of Ten and No/100 Dollars ($10.00), the
receipt and sufficiency of which are hereby acknowledged and confessed, Owner hereby
GRANTS, SELLS, and CONVEYS, to City an access easement on, over, through and across the
Easement Tract, and does hereby dedicate the Easement Tract as a public sidewalk for the purposes
herein stated, subject to the reservations, terms and conditions of this Agreement and subject to
any and all encumbrances and easements of record, to the extent the same are valid and
enforceable. City hereby acknowledges that the Easement will be located within a ten foot (10')
public utility easement and that City's use of the Easement Tract shall be subject to any rights or
restrictions granted under such public utility easement. The Easement shall be subject to the
following terms and provisions:
1. Character of Easement. The Easement is an easement in gross.
2. Duration of Easement. The Easement is perpetual.
3. Exclusiveness of Easement. The Easement is non-exclusive and City's use shall
be in common with Owner and its successors and assigns, and with the grantees of any
other easements over the Easement Tract. Owner hereby reserves, for itself and its
successors and assigns, the right to enter upon and use the surface of the Easement Tract,
the subsurface of the Easement Tract, and the air space over the Easement Tract (a) for the
purposes of using a to -be -constructed sidewalk for ingress and egress (the
"Improvements"); (b) for the purposes of installing landscaping and associated irrigation
systems or using any other improvements that are permitted under the City of Georgetown
Code of Ordinances to encroach into any setbacks or private easements; and (c) for any
other purposes that do not unreasonably interfere with the rights granted to City hereunder.
Notwithstanding anything contained herein to the contrary, subsequent to the date hereof,
Owner shall not use the Easement Tract in any other manner or grant any easement on or
across the Easement Tract that interferes in any material way, or is inconsistent with, the
easements, rights, and privileges granted hereunder or the terms and conditions hereof.
4. Purpose of Easement. The Easement shall be used only for the purpose of (a)
pedestrian ingress and egress over and across the Easement Tract by Owner and its licensees,
employees, agents, invitees, members, and the general public; (b) for City's installation,
construction, maintenance, operation, replacement, or upgrade of the Improvements; and (c) for
Owner's enjoyment pursuant to those purposes and under those rights reserved in the preceding
Paragraph 3. Owner acknowledges and agrees that City may assign, in whole or in part,
exclusively or non -exclusively, any of its privileges, exemptions, rights, reservations and duties
under this Easement with respect to construction or maintenance of the Improvements to any
person or entity.
5. Repairs and Restoration. Except as described below, City shall be solely
responsible for any and all construction of, and maintenance and repairs required for, the
Improvements. In the event that City's maintenance and/or other activities on the Easement Tract
result in any damage to or destruction of any improvements constructed or installed on the
Easement Tract by Owner (or its successors and assigns) or persons with rights granted under any
prior easements of record affecting the Easement Tract, then City agrees to repair or replace, as
necessary, at City's expense, any such improvements so damaged or destroyed. If the
Improvements are damaged or disturbed by Owner or any person or entity with rights granted to
the Easement Tract after the date of this Easement, the expense to repair or replace the
Improvements shall be the responsibility of the person or entity that caused the disturbance or
damage.
6. Entire Agreement. This Agreement contains the entire agreement between the
parties relating to the rights granted. Any oral representations or modifications concerning this
Agreement shall be of no force and effect except in a subsequent modification in writing, signed
by the party to be charged.
7. Assignment. The Easement may be assigned by City, its successors or assigns,
without the prior written consent of Owner as long as the proposed successor or assign is a
governmental entity that expressly assumes City's obligations under this Agreement.
8. Finding Effect. This Agreement, and the terms, covenants, and conditions shall
be covenants running with the Easement Tract and shall inure to the benefit of and be binding upon
the heirs, personal representatives, successors, and assigns of each of the parties.
9. No Waiver. Except for a written waiver signed by the party to be charged, any
action or inaction by any party with respect to any provision of this Agreement, including, but not
limited to, a party's failure to enforce any provision of this Agreement, shall not constitute a waiver
of that provision or any other provision of this Agreement. Any waiver by any party of any
provision of this Agreement shall not constitute a waiver of any other provision of this Agreement.

not modify or affect the interpretation of this Agreement in any manner whatsoever.

THE STATE OF TEXAS

This Sidewalk Easement Agreement ("Agreement") is made and entered into on this

result in any damage to or destruction of any improvements constructed or installed on the
Easement Tract by Owner (or its successors and assigns) or persons with rights granted under any
prior easements of record affecting the Easement Tract, then City agrees to repair or replace, as
necessary, at City's expense, any such improvements so damaged or destroyed. If the
Improvements are damaged or disturbed by Owner or any person or entity with rights granted to
the Easement Tract after the date of this Easement, the expense to repair or replace the
Improvements shall be the responsibility of the person or entity that caused the disturbance or

6. Entire Agreement. This Agreement contains the entire agreement between the
parties relating to the rights granted. Any oral representations or modifications concerning this

7. Assigninent. The Easement may be assigned by City, its successors or assigns,
without the prior written consent of Owner as long as the proposed successor or assign is a

8. SindinLy Effect. This Agreement, and the terms, covenants, and conditions shall
be covenants running with the Easement Tract and shall inure to the benefit of and be binding upon
the heirs, personal representatives, successors, and assigns of each of the parties.
9. No Waiver. Except for a written waiver signed by the party to be charged, any
action or inaction by any party with respect to any provision of this Agreement, including, but not
limited to, a party's failure to enforce any provision of this Agreement, shall not constitute a waiver
of that provision or any other provision of this Agreement. Any waiver by any party of any
provision of this Agreement shall not constitute a waiver of any other provision of this Agreement.
10. Headings. Any section headings in this Agreement are for reference only and shall
not modify or affect the interpretation of this Agreement in any manner whatsoever.

CABINET Y, SLIDES 1-3 OF THE OFFICIAL PUBLIC RECORDS OF
WILLIAMSON COUNTY, TEXAS; SAID LOT 1 CONVEYED TO BANK OF
AMERICA, NA BY DEED OF RECORD IN DOCUMENT NO. 2003088326 OF SAID
OFFICIAL PUBLIC RECORDS; SAID 0.016 ACRE TRACT BEING MORE
PARTICULARLY DESCRIBED BY METES AND BOUNDS AS FOLLOWS:
BEGINNING, at a 1/2-inch iron rod with "GRANT 1919" cap found at
the intersection of the westerly right-of-way line of Williams
