The City Council of the City convened in REGULAR MEETING ON THE 8TH DAY OF MARCH, 2022, (the "Meeting"), and the roll was called of the duly constituted officers and members of the City, to -wit: Josh Schroeder, Mayor Amanda Parr, Councilmember District 1 Shawn Hood, Councilmember District 2 Mike Triggs, Councilmember District 3 Steve Fought, Councilmember District 4 Kevin Pitts, Councilmember District 5 Jake French, Councilmember District 6 Tommy Gonzalez, Councilmember District 7 and all of the persons were present, except the following absentees: r..-/ OL , thus constituting a quorum. Whereupon, among other business, the following was transacted at the Meeting: a written A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF GEORGETOWN, TEXAS, APPROVING THE FORM AND AUTHORIZING THE DISTRIBUTION OF A PRELIMINARY LIMITED OFFERING MEMORANDUM FOR "CITY OF GEORGETOWN, TEXAS SPECIAL ASSESSMENT REVENUE BONDS, SERIES 2022 (PARKS AT WESTHAVEN PUBLIC IMPROVEMENT DISTRICT PROJECT)" was duly introduced for the consideration of the City Council. It was then duly moved and seconded that the Resolution be passed on first reading; and, after due discussion, said motion carrying with it the passage of the Resolution, prevailed and carried by the following vote: AYES: -4 NOES: (& ABSTENTIONS:(& 2. A true, full and correct copy of the aforesaid Resolution passed at the Meeting described in the above and foregoing paragraph is attached to and follows this Certificate; that the Resolution has been duly recorded in the City Council's minutes of the Meeting; that the above and foregoing paragraph is a true, full and correct excerpt from the City Council's minutes of the Meeting pertaining to the passage of the Resolution; that the persons named in the above and foregoing GEORGETOWN PARKS AT WESTRAVEM PLOMRe Iution CRT paragraph are the duly chosen, qualified and acting officers and members of the City Council as indicated therein; that each of the officers and members of the City Council was duly and sufficiently notified officially and personally, in advance, of the time, place and purpose of the aforesaid Meeting, and that the Resolution would be introduced and considered for passage at the Meeting, and each of the officers and members consented, in advance, to the holding of the Meeting for such purpose; that the Meeting was open to the public and public notice of the time, place and purpose of the Meeting was given, all as required by Chapter 551, Texas Government Code, as amended. GEORGETOWN PARKS AT WESTHAVEN: PLOMReoludon CRT SIGNED AND SEALED this March 8.2022. r0.A J■ j. 4 01,r (CITY SEAL) GEORGETOWN PARKS AT WESTHAVEN: PLOMRmlution CRT CITY OF GEORGETOWN TEXAS RESOLUTION NO. 03082Z A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF GEORGETOWN, TEXAS, APPROVING THE FORM AND AUTHORIZING THE DISTRIBUTION OF A PRELIMINARY LIMITED OFFERING MEMORANDUM FOR "CITY OF GEORGETOWN, TEXAS SPECIAL ASSESSMENT REVENUE BONDS, SERIES 2022 (PARKS AT WESTHAVEN PUBLIC IMPROVEMENT DISTRICT PROJECT)" WHEREAS, this City Council (the "Council") of the City of Georgetown, Texas (the "City") has adopted a resolution authorizing the creation of the Parks at Westhaven Public Improvement District (the "District"); and WHEREAS, on March 9, 2021, the City Council adopted Ordinance No. 2021-17 approving a Construction, Financing and Reimbursement Agreement Parks at Westhaven Public Improvement District by and between the City and Westinghouse77, LP, a Texas Limited Partnership; and WHEREAS, this Council intends to issue "City of Georgetown, Texas Special Assessment Revenue Bonds, Series 2022 (Parks at Westhaven Public Improvement District Project) (the 'Bonds"), to fund public improvements within the District; and WHEREAS, there has been presented to this Council a Preliminary Limited Offering Memorandum relating to the Bonds (the "Preliminary Limited Offering Memorandum"); and WHEREAS, this Council finds and determines that it is necessary and in the best interests of the City to approve the form and content of the Preliminary Limited Offering Memorandum and authorize the use of the Preliminary Limited Offering Memorandum in the offering and sale of the Bonds by the Underwriter for the Bonds, FMSbonds, Inc.; and WHEREAS, the Council finds that the passage of this Resolution is in the best interest of the citizens of the City; NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF GEORGETOWN, TEXAS: SECTION 1: That all matters stated in the Recitals hereinabove are found to be true and correct and are incorporated herein by reference as if copied in their entirety. SECTION 2: That this Council hereby approves the form and content of the Preliminary Limited Offering Memorandum and deems the Preliminary Limited Offering Memorandum final, except for the omission of such information which is dependent upon the final pricing of the Bonds for completion, all as permitted to be excluded by Section Page 1 of 3 (b)(1) of Rule 15c2-12 under the Securities Exchange Act of 1934, with such changes, addenda, supplements or amendments as may be approved by the City Manager, Assistant City Manager or the Finance Director. The City hereby authorizes the Preliminary Limited Offering Memorandum to be used by the Underwriter in connection with the marketing and sale of the Bonds. SECTION 3: If any portion of this Resolution shall, for any reason, be declared invalid by any court of competent jurisdiction, such invalidity shall not affect the remaining provisions hereof and the Council hereby determines that it would have adopted this Resolution without the invalid provision.
