Offices Section 1.01 Location, Registered Office, and Registered Agent •Registered Office: Georgetown City Hall •Registered Agent: Georgetown City Manager Page 5 of 84 3 Section 2.01 Number, Appointment, and Term of Office •Board of Seven Directors •Minimum of one shall be a City Council Member •Members must reside in the Georgetown •Members are appointed by City Council to two-year terms •Can be removed from office at any time by the City Council Article II. Directors Page 6 of 84 4 Section 2.02 Vacancies •Appointed by City Council to serve remainder of the unexpired term •Resignations shall be made in writing to the General Manager Section 2.03 Regular Meeting; Place of Meeting •Regular meetings shall take place at a time, day, and location approved annually by the board •Meetings may be cancelled if there is no business to be conducted Section 2.04 Special Meetings •May be held whenever call by the President, General Manager, or upon written request to the Secretary by two Directors Article II. Directors Page 9 of 84 7 Section 2.11 Purpose and Powers •Corporation is a non-profit as defined in IRS Code of 1986 •Acts on behalf of the City in accordance with Article 5190.6, Section 4B of the Texas Development Corporation Act of 1979 •Purpose is to pay for the costs of streets, roads, drainage, and other related transportation improvements, including the payment of maintenance and operating expenses associated with such approved projects Article II. Officers Page 13 of 84 11 Section 3.06 Conflict of Interest •Defined in the State of Texas Conflict of Interest Statue and the City of Georgetown Ethics Ordinance •Member with (or with a potential) conflict informs the Board •Directors are also obligated to inform the Board if they believe another member has a conflict, and the board determines if one exists Section 3.07 Board’s Relationship with the City •Any request for services from departments of the City are made to the City Manager •City Manager approves requests if services are available and the Board agrees to reimburse the City for the cost of services provided Article III. Officers Page 14 of 84 12 Section 3.08 Contracts for Services •Corporation may enter into contracts, with approval of City Council •An administrative services contract will be executed between the Board and City Council for services provided by the General Manager, Finance Manager, City Attorney, and other City services •Subject to approval of the City Manager, the Corporation may utilize employees in the city manager’s office, city attorney’s office, finance department, economic development department, and others as requested, with reasonable compensation Article III. Functional Corporate Duties and Requirements Section 6.01 General Manager •The Georgetown City Manager •In charge of the properties and affairs of the Corporation, administers work orders, requisitions, purchase orders, contract administration, and other activities •Employs full or part-time staff as needed to carry out program of the Board, and hires, fires, directs, and controls the work of such employees •May delegate authority Page 18 of 84 16 Article VI. Functional Corporate Duties and Requirements Section 6.02 Finance Manager •The City’s Finance Director •Responsibility to see the handling, custody, and security of all funds in accordance with the City’s financial policies •Finance Manager, or designee, may sign for issuance, checks notes, and other obligations •Maintains a full and accurate account of all money •Coordinates an annual audit •Submits monthly reports to the Board and quarterly reports to Council •May delegate responsibilities with approval by the General Manager Page 19 of 84 17 Article VI. Functional Corporate Duties and Requirements Section 6.03 Ex-Officio Members •City Council may appoint ex-officio members to serve one year terms •May take part in open meeting discussions •May not vote or attend executive session •Must take Oath of Office and abide by Code of Ethics Section 6.04 Participation in Board Meetings •General Manager and Finance Manager have the right to participate in meetings and discussions, but not vote Page 20 of 84 18 Article VI. Functional Corporate Duties and Requirements Section 6.05 Duties of the Board •Board shall develop a Transportation Improvement Program (the “TIP”) including long and short-term goals •TIP must be approved by Council and incorporate Capital Improvement Plans and City Public Works Department •Must conduct a public hearing for the adoption and updates to the TIP, with a legal notice advertised at least three days prior •Board must review the TIP once a year to ensure the plan is up to date with community and transportation needs •Must make a quarterly report to Council with accomplishments and activities Page 21 of 84 19 Article VI. Functional Corporate Duties and Requirements Section 6.06 Components of the TIP •Must submit to Council for approval •Proposed funding methods and expected costs of implementation, and cost of operation and maintenance of the projects •Long and short term goals for the transportation system development of the City Page 22 of 84 20 Article VI. Functional Corporate Duties and Requirements Section 6.07 Annual Corporate Budget •Board must prepare and adopt a proposed budget of expected revenue and proposed expenditures for the following fiscal year •Must be adopted at least 60 days prior to October 1 •Considered and adopted with formal approval by Council Page 23 of 84 21 Article VI. Functional Corporate Duties and Requirements Section 6.08 Financial Books, Records, and Audits •Finance Manager will properly maintain complete financial books, records, accounts, and financial statements for corporate funds, activities, and affairs •The City will coordinate an annual audit of the Corporation’s financial records at the Corporation’s expense •An annual report will be submitted to the State Comptroller’s Office no later than February 1 of each year, in accordance with the Act •Corporation is subject to the Public Information Act Page 24 of 84 22 Article VI. Functional Corporate Duties and Requirements Section 6.09 Debt, Deposit, and Investment of Corporate Funds •All debt proceeds to the Corporation will be deposited, invested, and handled in accordance with the statute governing the Corporation •No bonds will be issued without approval by City Council •All money of the corporation will be deposited, secured, and/or invested as authorized by the City Investment Policy •The Finance Manager will designate the accounts, and all accounts, reconciliation, and investment of funds will be performed by the City Finance Department Page 25 of 84 23 Article VI. Functional Corporate Duties and Requirements Section 6.10 Expenditures of Corporate Money •All monies of the Corporation may be expended for any of the purposes authorized under the Act with the limitations of: •Before expending funds to undertake a project, the Corporation must hold at leas one public hearing on the proposed project •Expenditures may be made from a fund created from the proceeds of bonds, and may be to fund projects, as defined in the Act •All other expenditures shall be made in accordance with the Act •No bonds may be issued without approval by City Council Page 26 of 84 24 Article VI. Functional Corporate Duties and Requirements Section 6.11 Contracts •The president and secretary may enter into contract with approval by City Council •When needed, the Board may grant power of attorney to carry out action of the Board Page 27 of 84 25 Section 7.01 Notices and Waivers •Notices may be given personally or in writing •A waiver may be signed by the director and deemed equivalent to a notice Section 7.02 Approval of the City Council •Any approval by the City referred to in the Bylaws is to be action taken by City Council Section 7.03 Organizational Control •The City Council may change the structure, organization, or activities of the Corporation at any time, at it’s sole discretion Article VII. Miscellaneous Page 28 of 84 26 Section 7.04 Indemnification of Directors, Officers, and Employees •Every member of the Board, its officers, its employees, the City Council, and each employee or representative of the City will be indemnified to the fullest extent permitted by law •Insurance will be purchased and maintained against any liability Article VII. Purpose To provide a new alignment consistent with the alignment of the proposed Northwest Boulevard Bridge over IH 35; to allow a feasible, alternate route from the west side of I 35 to Austin Avenue, to Georgetown High School, to San Gabriel Park and a more direct route to SH 130. Clearview Dr. Widening along Westinghouse Road will also be included in the schematic for additional turning lanes to/from Westinghouse Road. Engineering new schedule to post when Georgetown electric move underway Page 72 of 84 Signal Improvements – Various Locations Project No. PRJ000214 TIP No. None April 2022 Project Description Design and preparation of Plans, Specifications, Estimate, Bidding Documents, and construction phase services for the construction of signal improvements for the intersections of Williams Drive & Estrella Crossing, Shell Road & Verde Vista and SE Inner Loop & Rockride Lane. Purpose To better manage traffic movements at the intersection. Project Manager Joel Weaver Engineer KPA Element Status / Issues Design Shell Rd @ Verde Vista and Williams @ Estrella Crossing were bid July 22 with Austin traffic Signal as the low bid and recommended for award.
