Discussion relating to the role and responsibilities of the Georgetown Village Public Improvement District No. 1 Advisory Board – Jim Briggs, General Manager of Utilities Jim Briggs opened the discussion by discussing the purpose, function and mission of the Board and how there are differing opinions of what those should be. The City Attorney prepared a legal interpretation that covered the identity and evaluation of the PID Board and submitted that to the City Manager’s office. It is not presented because it is protected under attorney client privilege. The position states that the original purpose of the board has evolved over the years with the selling of lots to homeowners and changing statutes. The current Board should be functioning as other city advisory boards, Parks and GUS Boards were given as examples, and the City Attorney recommends moving this board to the role of advisory board. Briggs went on to explain that Chapter 372 of the Texas Local Government Code has qualifications for Public Improvement Districts that no longer apply to today’s board. The City Council established uniform applications, bylaws and trainings for all board and commission members in 2001. These are the standards that will be applied to the PID Board moving forward. Mr. Briggs explained that the previous discussion to dissolve the board was not feasible as the current board has value. The current board will move to the board standards as adopted by the Charter and action will be taken by Council in the near future to adopt new bylaws and ordinances for this board. The city’s standard bylaws form was distributed and members reviewed each article and section. For Section 2.2 Eligibility, it was discussed that language be added that “whenever possible, each Georgetown Village Public Improvement District Advisory Board member Page 3 of 39 Georgetown Village PID Page 2 of 2 Meeting: October 10, 2016 shall represent a different section within the Georgetown Village.” And two members will be developers of the Georgetown Village PUD. Section 2.6 states that the Advisory Board does not have authority to expend funds or to incur or make an obligation on behalf of the City. An example was given that the contract to spread mulch was contracted and invoiced through the city. Article III addresses the Advisory Board Officers and how the Chair is appointed by the City Council. This is done annually and all officers serve for one year. The Chair for this board will be appointed in February when all the other Boards and Commissions are appointed and the cycle will then begin in sync with the others. Article IV addresses Meetings and the policies and procedures of how those meetings are run. Jim Briggs explained that contracts will be brought forth as information for the Board, along with invoices and other communications, these will not be submitted to the board for approval, but for recommendation to City Council or as information only. City Council is the ultimate decision maker for the Georgetown Village PID. Also discussed under this heading was the open meetings law and open public discussions. Two members of the Advisory Board talking to each other about PID business is considered a walking quorum and is not allowed. They are allowed to talk about social business with each other outside of a posted meeting. The Citywide Ethics and Open Meetings training will be held in February with the new assignments of the Boards. Citizen Participation is also addressed in this section and will be addressed in the future as other Boards and Commissions do. Andreina Davila explained that an Ordinance explaining and amending the current structure for the PID is being written and will be taken to City Council. The bylaws will be presented by Resolution to the Council and adopted at the second reading of the Ordinance. Adjournment Motion by Ortego to adjourn. Second by Harrison. Public wishing to address the Board. – Melinda Marler, President At the posting of this agenda, no persons had signed up to address the Board. Chair Newman allowed citizens to speak to the board. Marlene McMichael, 210 Westbury Lane – Ms. McMichael disagrees with the PID Board being classified the same as the Parks and GUS Boards because this board is responsible for the assessment of a tax. She said the Council has been offensive to the board in the past and could have intervened at any time if they felt something was being handled incorrectly. She recommended that Council look at TIRZ boards as a model which she suggests are more similar in action based on the homeowners being vested in the taxes that are assessed. She also stated that adding an administration fee to the PID budget is double taxation for the residents and cautions the city to re-examine the changes being made to the Board structure. Paula Curry, 1104 Cedar Elm Drive – Ms. Curry has concerns about the nature of the changes to the Board and concurs with Ms. McMichael. She wants the board to serve as their own entity and manage the residents’ concerns. She is disappointed in the quality of the Delany development and is concerned about their lighting and landscape. She was glad to see progress being made on mulching in the area. Mr. Newman asked Mr. Briggs to address these comments. Briggs stated the Building Official had sent someone out to inspect the lights of the Delaney and the parking lot lights are as they should be, but the shielding will be adjusted. He explained the Delaney project manager was out-of-state and he was working on the issues and it will take time but the landscaping issues are being addressed. Consideration and possible action to approve the minutes of the September 12, 2016 meeting – Karen Frost, Recording Secretary Motion by Ortego, second by Porter to approve the minutes as written. Motion approved 4 – 0. C. Presentation of the Georgetown Village Public Improvement District (GVPID) monthly financial reports for the month of September 2016 – La’Mar Kemp, Accountant Kemp presented the financial statement and summary of expenses for the PID as of September 30, 2016. There was also a statement of charges for all electric and water meters within the PID. Ortego asked for a bulk rate on the water meters. Briggs explained that the meters were billed the same as all city parks meters within the city. There are no tier rates for this type of meter, just a straight charge for irrigation. Ortego stated residents are asking why the PID has to pay for fixing the broken water quality pond. Briggs explained that the PID Board accepted the ponds for the city, when city policy requires that an HOA or developer own or maintain those. Therefore, the PID budget must pay for the maintenance and rehabilitation of the pond. The detention ponds in the PID will be accepted by the city once they are brought up to code by the developer/builders, as per other detention ponds in the city. The water quality ponds need rehabilitation because they have not been maintained and do not meet TCEQ standards. Ortego also asked about the discharge of stormwater from the Delaney. Briggs said he would investigate, but believes the water is being treated on-site before flowing into the detention pond downstream, which is what is intended. Newman stated he has reviewed the ponds, and that of the two ponds that the PID owns, future maintenance of those ponds needs to be added to the PID budget. There was further discussion of legally qualifying improvements that can be accepted by the city for the PID. Newman asked if maintenance of fencing along Shell Road could be considered in the budget. Briggs said he would clarify with the legal department, but believes that the legal interpretation will be that those fences are private property so that PID funds cannot be spent for maintenance or improvement of private property. D. Discussion regarding the Contracts Progress Report – Jim Briggs, General Manager of Utilities Jamie Beran reviewed the progress report with the board. The city purchasing department is still working on the city-wide Request for Bids for the maintenance of parks that would include the additional services for Georgetown Village PID areas. He reported mulch was being installed. Multiple irrigation system repairs are being made. The blue flags placed around the neighborhoods are indicators of the repairs. He projected that work on the roundabouts would start on Wednesday October 10th. Mutt Mitts have been installed. The water quality pond will be mowed soon, before work to repair it begins. Page 6 of 39 Georgetown Village PID Page 3 of 3 Meeting: October 10, 2016 Tree trimming began on October 3rd and they will be splitting some of their time in October with tree trimming in downtown for the Christmas lights installation. Newman reported that Ashton Woods homebuilders had planted street trees in the front yards of some houses and not in the ROW as they were supposed to. Briggs said that is against the language in the Master Plan that states they need to follow the development standards. Newman will work with them. Briggs reported that the alleys had all been resealed and that the catch basin work would be occurring over the next couple of months that would improve drainage in those alleys. The crosswalks have been sealed and repainted in time for the Walk-to-School day. Ortego questioned the high grass in the area along Bellaire. Briggs stated that property belongs to the school district, not the PID, and they will be asked to mow it. Adjournment Motion by Harrison to adjourn. Second by Ortego. There is hereby created the Georgetown Village Public Improvement District No. 1 Advisory Board (the "Advisory Board") for the Georgetown Village Public Improvement District No. 1 (the “District”). (Ord. No. 2005-47, § 2) Sec. 2.115.020. - Purposes. A. The Advisory Board shall provide recommendations on the ongoing Service Plan and Assessment Plan, consistent with Chapter 372 of the Texas Local Government Code, to the City Council for those public improvements within the District identified in the approved Assessment Plan, as amended. The Service Plan shall be for five (5) years, and shall be reviewed and updated annually. The Assessment Plan shall be included in the annual review of the Service Plan. The annual updates and Assessment Plan shall be reviewed and approved by the City Council. B. The Advisory Board shall prepare for the City Council's review and approval provide recommendations on the an annual budget for the construction and maintenance of the assessed public improvements within the District to the City Council. for the Georgetown Village Public Improvement District No. 1 (the "District") consistent with Chapter 372 of the Texas Local Government Code, Ordinance No. 99-22 (relating to the creation of the District and the levying of assessments on property in the District), and the Service and Assessment Plan for the District, as these may be amended from time to time. The District’s annual budget shall be reviewed and approved by the City Council. B. Upon approval of the District budget by the City Council, and the disbursement by the City of the GTVPID assessments to the District, the Board shall oversee and administer the maintenance and management of those improvements in District authorized to be funded by District assessments in accordance with Chapter 372 of the Texas Local Government Code, Ordinance No. 99-22 (relating to the creation of the District and the levying of assessments on property in the District), the Service and Assessment Plan for the District, and the City Council approved budget for the District, as these may be amended from time to time. C. The Advisory Board is responsible to and shall act as an advisory body to the Council and shall perform such duties and exercise such additional powers as may be described by ordinances of the Council not inconsistent with the provisions of the City Charter, Chapter 372 of the Texas Local Government Code, Ordinance No. 99-22 (relating to the creation of the District and the levying of assessments on property in the District), the Service and Assessment Plan for the District, and the City Council approved budget for the District, as these may be amended from time to time. However, the ultimate authority for making decisions regarding the District lies with the City Council. D. All Advisory Board members shall serve without compensation. The Advisory Board shall consist of seven (7) members and up to three (3) alternates nominated by the Board in accordance with the procedures detailed in the Advisory Board's bylaws, appointed by the mayor, and confirmed by City Council as follows: i. Five (5) of the members shall be resident homeowners in the Georgetown Village subdivision ("GV Members"). Whenever possible, each GV Member shall represent a different section within the Georgetown Village subdivision. ; ii. tTwo (2) members shall be members representatives of the entity that is developing the Georgetown Village PUD Concept Plan approved by City Council on January 14, 1997, last amended on March 28, 2000 ("Development Members"). At such time as the development of the 811-acre Georgetown Village projectPUD Concept Plan is complete, as determined by the Development Members, the two (2) Development Members shall resign and be replaced by two (2) GV Members. B. The term of office for all Advisory Board members shall be two (2) years. C. GV Members may be re-appointed once by the City Council, for a maximum consecutive service period of four (4) years. After serving a maximum consecutive four-year period, and after a period of two (2) years has elapsed since the end of the GV Member's last term, the GV Member may reapply again and be nominated and appointed to serve for an additional term in accordance with this section. D. There are no limits on the terms of the Development Members. E. Vacancies in the positions of GV Members shall be filled by the an Aalternate representing the same homeowner groupsubdivision section, if available, until the vacancy is filled. F. Advisory Board members may also serve as members on other City Council appointed boards, committees, or commissions. (Ord. No. 2009-40, § 2; Ord. No. 2005-47, § 2) Sec. 2.115.040. - Officers. A. The Advisory Board Officers shall be Chair, Vice-Chair and Secretary. B. The City Council shall appoint a Chair. The Advisory Board shall elect a president, vice- presidentVice-Chair, and treasurer.Secretary by a majority vote of the members at the first meeting after the annual appointment process. A non-member may serve in the ministerial position as secretary for the purposes of preparing agenda, postings, and meeting minutes that satisfy the provisions of the Texas Open Meetings Act, but if the secretary is a non- member, he or she shall not be entitled to vote or to take any other official actions other than preparing agenda, postings, and meeting minutes that satisfy the provisions of the Texas Open Meetings Act. C. The Officers shall serve for a term on one (1) year. B. Any officer shall be entitled to enter into any contract or to execute and deliver any instrument in the name of the Board, provided that the officer has obtained authorization from the Board and provided further that the contract or instrument is not inconsistent with Chapter 372 of Page 19 of 39 *** DRAFT *** Page 3 the Texas Local Government Code, Ordinance No. 99-22 (relating to the creation of the District and the levying of assessments on property in the District,) and the Service and Assessment Plan for the District, and the City Council approved budget for the District, as these may be amended from time to time. C. The Board may establish such procedures, rules and regulations pertaining to officers as it may deem desirable, provided that those procedures are not inconsistent with this Chapter of the City Code of Ordinances, Chapter 372 of the Texas Local Government Code, Ordinance No. 99-22 (relating to the creation of the District and the levying of assessments on property in the District), the Service and Assessment Plan for the District, or the City Council approved budget for the District, as these may be amended from time to time. (Ord. No. 2009-40, § 3; Ord. No. 2005-47, § 2) Sec. 2.115.050. - Meetings, quorum and voting. A. The Advisory Board shall hold an official meeting at least quarterly monthly and may hold special meetings upon request of the PresidentChair, or the request of two (2) or moreof the Board members. B. A majority of the total regular members of the Board (minimum 4 members) constitutes a quorum for meetings. C. Provided a quorum is present, an item must be approved by a simple majority of the Board members present at the meeting at which the item is posted for action and discusseddiscussion. (Ord. No. 2005-47, § 2) Sec. 2.115.060. - Bylaws. The Advisory Board shall establish such bylaws for its governance and procedures consistent with the laws of this State and the ordinances of the City Charter and the City Code of Ordinances. The bylaws shall be effective upon approval by the City Council. (Ord. No. 2005-47, § 2) Sec. 2.115.070. - Open meetings. Each meeting of the Board shall be posted in compliance with the Open Meetings Act and shall be open to the public. (Ord. No. 2005-47, § 2) Page 20 of 39 *** DRAFT *** Georgetown Village Public Improvement District 1 Advisory Board Bylaws Issues February 2017 Page 1 of 6 CITY OF GEORGETOWN GEORGETOWN VILLAGE PUBLIC IMPROVEMENT DISTRICT NO. 1 ADVISORY BOARD BYLAWS ARTICLE I. NAME AND PURPOSE Section 1.1. Name. Georgetown Village Public Improvement District No. 1 Advisory Board (“Advisory Board”). Section 1.2. Purpose. The Advisory Board is established for the purpose of providing recommendations on the ongoing Service Plan and Assessment Plan, consistent with Chapter 372 of the Texas Local Government Code, to the City Council for those public improvements within the Georgetown Village Public Improvement District No. 1 (“District”) identified in the approved Assessment Plan, as amended. The Service Plan shall be for five (5) years, and shall be reviewed and updated annually. The Assessment Plan shall be included in the annual review of the Service Plan. The Advisory Board is also responsible for providing recommendations on the annual budget for the construction and maintenance of the assessed public improvements within the District to the City Council. See Code of Ordinances Chapter 2.115. ARTICLE II. MEMBERSHIP Section 2.1. Number of Members. The Advisory Board will be comprised of seven (7) Members, and up to three (3) alternates. Section 2.2. Eligibility. Five (5) of the members shall be resident homeowners in the Georgetown Village subdivision ("GV Members"). Whenever possible, each GV Member shall represent a different section within the Georgetown Village subdivision. Two (2) members shall be representatives of the entity that is developing the Georgetown Village PUD Concept Plan approved by City Council on January 14, 1997, last amended on March 28, 2000 ("Development Members"). There are no limits on the number of terms for the Development Members. Refer to Ordinance Section 2.36.030A for additional provisions regarding terms of office. Section 2.5. Vacancies. Vacancies that occur during a term shall be filled as soon as reasonably possible and in the same manner as an appointment in accordance with the City Charter. An alternate may serve as a Member representing the same homeowner group, if available, until the vacancy is filled. An appointment to fill a vacated term is not included as a term for purposes of counting consecutive terms. Section 2.6. Compensation and Expenditure of Funds. Members serve without compensation. The Advisory Board and its members have no authority to expend funds or to incur or make an obligation on behalf of the City unless authorized and approved by the City Council. Section 2.7. Compliance with City Policy. Members shall comply with City Ordinances, Rules and Policies applicable to the Advisory Board and the members, including but not limited to Code of Ordinances Chapter 2.20, Ethics, and Chapter 2.36, City Commissions, Committees and Advisory Boards. Section 2.8. Removal. Any member may be removed from their position on the Advisory Board for any reason, or for no reason, by a majority vote of the City Council. ARTICLE III. ADVISORY BOARD OFFICERS Section 3.1. Officers. The Advisory Board Officers are Chair, Vice-Chair and Secretary. Section 3.2. Election of Officers. The Chair of the Board is appointed by the City Council. All other officers shall be elected by a majority vote of the Advisory Board at its first meeting after the annual appointment process. Section 3.3. Terms of Office for Advisory Board Officers. Advisory Board Officers serve for a term of one year. In the event of vacancy in the office of Chair, the Vice-Chair shall serve as Chair until the City Council appoints a replacement Chair. A vacancy in the other offices shall be elected by majority vote of the Advisory Board at the next regularly scheduled meeting, or as soon as reasonably practical for the unexpired term. If possible, an Advisory Board Officer shall continue to serve until the vacancy is filled. Alternates may not serve as Officers. Section 3.4. Duties. The Chair presides at all meetings and performs all other duties pertaining to the office, including voting. The Secretary keeps records of proceedings of all meetings. Staff Liaison will keep custody of all records and documents of the Advisory Board. ARTICLE IV. MEETINGS Section 4.1. Time and Date of Regular Meeting. The Advisory Board shall meet once a month on the same week of the month, the same day of the week, at the same time, and at the same place. The regular date, time and place of the Advisory Board meeting will be decided by the members at the first meeting of the Advisory Board after the annual appointment process. Section 4.2. Agenda. Items may be placed on the agenda by the Chair, the City Manager or designee, or at the request of a member. The party (or individual) requesting the agenda item will be responsible for preparing an agenda item cover sheet and for the initial presentation at the meeting. Items included on the agenda must be submitted to the Staff Liaison no later than one week before the Advisory Board meeting at which the agenda item will be considered. Agenda packets for regular meetings will be provided to the members in advance of the scheduled Advisory Board meeting. Agenda packets will contain the posted agenda, agenda item cover sheets, and written minutes of the last meeting. Section 4.3. Special Meetings. Special meetings may be called by the Chair or two of the members. Section 4.4. Quorum. A quorum shall consist of four (4) members and shall be required for the Advisory Board to convene a meeting and to conduct business at a meeting. No business meeting may be convened, nor business conducted, without a quorum. Section 4.5. Call to Order. Advisory Board meetings will be called to order by the Chair or, if absent, by the Vice-Chair. In the absence of both the Chair and Vice-Chair, the meeting shall be called to order by the Secretary, and a temporary Chair shall be elected to preside over the meeting. Section 4.6. Conduct of Meeting. Advisory Board meetings will be conducted in accordance with these Bylaws and City Council Meeting Rules and Procedures, as applicable to the Advisory Board. See Code of Ordinances Chapter 2.24, City Council Meeting Rules and Procedures. Section 4.7. Voting. Each Member shall vote on all agenda items, except on matters involving a conflict of interest, substantial financial interest or substantial economic interest under state law, the City’s Ethics Ordinance, or other applicable Laws, Rules and Policies. In such instances, the member shall make the required disclosures and shall refrain from participating in both the discussion and vote on the matter. The member may remain at the dais or leave the dais, at the member’s option, while the matter is being considered and voted on by the other Advisory Board members. Section 4.8. Minutes. A recording or written minutes shall be made of all open sessions of Advisory Board meetings. The Staff Liaison is the custodian of all Advisory Board records and documents. Section 4.9. Attendance. Members are required to attend Advisory Board meetings prepared to discuss the issues on the agenda. A member shall notify the Staff Liaison if the member is unable to attend a meeting. Excessive absenteeism will be subject to action under Council policy and may result in the member being replaced on the Advisory Board. See Ordinance Section 2.36.010D. Excessive absenteeism means failure to attend at least 75% of regularly scheduled meetings, including Advisory Board meetings and Subcommittee meetings. If a member is removed from the Advisory Board that position shall be considered vacant and a new member shall be appointed to the Advisory Board in accordance with Section 2.5 above. Section 4.10. Public Participation. In accordance with City policy, the public is welcome and invited to attend Advisory Board meetings and to speak on any item on the agenda. A person wishing to address the Advisory Board must sign up to speak in accordance with the policy of the Council concerning participation and general public comment at public meetings. Sign-up sheets will be available and should be submitted to the Chair prior to the start of the meeting. If any written materials are to be provided to the Advisory Board, a copy shall also be provided to the Staff Liaison for inclusion in the minutes of the meeting. Speakers shall be allowed a maximum of three minutes to speak, but may take up to six minutes if another individual who signs up to speak yields the time to the speaker. If a person wishes to speak on an issue that is not posted on the agenda, they must file a written request with the Staff Liaison no later than one week before the scheduled meeting. The written request must state the specific topic to be addressed and include sufficient information to inform the Advisory Board and the public. A person who disrupts the meeting may be asked to leave and be removed. Section 4.11. Open Meetings. Public notice of Advisory Board meetings shall be provided in accordance with the provisions of the Texas Open Meetings Act. All Advisory Board meetings and deliberations shall be open to the public, except for properly noticed closed session matters, and shall be conducted in accordance with the provisions of the Texas Open Meetings Act. Section 4.12. Closed Sessions. The Advisory Board may conduct closed sessions as allowed by law, on properly noticed closed session matters, such as consultation with attorney on legal matters, deliberation regarding the value of real property, competitive utility matters, and economic development negotiations. They have submitted a pay app for $40,000 for the work that has been completed.
