Parks Director; Andreina Davila, Project Coordinator; and Karen Frost, Administrative Assistant Meeting called to order by Chair Marler at 6:00 p.m. A. Public wishing to address the Board. – Melinda Marler, President At the posting of this agenda, no persons had signed up to address the Board. Chair Marler allowed citizens to speak to the board. Paula Curry, 1104 Cedar Elm Drive – Ms. Curry has concerns about the quality of the Delany development that backs up to the PID area and is concerned about their lighting and landscape. She asked that the Greenside Park area be fixed quickly, there are pipes and a meter above ground that are not safe. She urged the Board to carefully consider the parking lot items of the budget. Patsy Nieto, 100 block of Westbury – Ms. Nieto has concerns about the board’s role and also has concerns about the Delaney development. She had questions about how the money was being spent. Mr. Briggs explained the approved budget item expenditures. Jill Fussell – Ms. Fussell asked to also speak on Item D but wanted to speak about fire ant control and to insure that the maintenance contractor was installing the bait and poison. She reported that the new landscaping contractor for the gazebo had run over the sidewalk and steps and broken them. She also reported the sprinklers at Sycamore and Shell were working during the day on December 9th at 10 a.m. B. Consideration and possible action to approve the minutes of the October 10, 2016 Workshop and regular meeting. - Karen Frost, Recording Secretary Goodman commented that he has concerns about the responsibilities of the board that were discussed at the last meeting. He disagrees with the City Attorney’s interpretation of the intent and duties of the board. Motion by Ortego to approve the minutes of the October 10th Workshop and Regular Meeting. Second by Harrison. Approved 3 - 1 - 2 (Goodman opposed, Newman and Porter absent.) C. Discussion and possible direction regarding the "parking lot" items identified in the approved Fiscal Year 2017 Budget for the Georgetown Village Public Improvement District -- Andreina Davila-Quintero, Project Coordinator Page 3 of 28 Georgetown Village PID Page 2 of 3 Meeting: December 12, 2016 Jim Briggs explained that the parking lot items that were not budgeted in the annual budget are still eligible expenses for PID money based on the City Attorney’s interpretation that capital improvements can be funded by the PID. Board members discussed the various proposed improvements and agreed that all items should be reviewed by staff and amounts assigned to each for further discussion. No action was taken. D. Discussion relating to the role and responsibilities of the Georgetown Village Public Improvement District No. 1 Advisory Board - Andreina Davila-Quintero, Project Coordinator Davila-Quintero explained that the role and responsibilities of the board are changing. The PID was originally formed under Chapter 372 of the Local Government Code and the Board was acting under different regulations. The role of the board today is to be an advisory board to the City Council in regards to the management of the money from the assessed tax, through an approved budget and assessment plan. The board had many questions and discussion included possibly starting a new PID for the new neighborhoods, or looking into dissolving this PID and starting an HOA for the maintenance and management of the Village. Marler explained that the current board was vested in the neighborhoods and that the city sees their role in a different way. She explained there are positive ways of looking at this, the city has more experience in managing contracts and grounds maintenance, and receives better products at a better price. However, the city also takes longer for transactions due to the public process. The board is concerned that they will lose control over the funds and the contract management of the area maintenance. There was more discussion of the history of the board and the relationship with the city. Briggs stated he believes the board is still needed to be there for the oversight of how the money is spent. There were more pros and cons discussed of an HOA versus a city advisory board. Marler asked to discuss this further in January before making a recommendation to the City Council. No action was taken. E. Presentation of the Georgetown Village Public Improvement District (GVPID) monthly financial reports for the month of September 2016. La'Mar Kemp, Accountant Kemp reviewed the financial reports and explained that the reports were now reflecting what the PID had paid for the utility bills and invoices, versus what was billed. F. Discussion regarding the Contracts Progress Report - Jim Briggs, General Manager of Utilities Briggs reviewed the progress report with the Board. He stated the estimate to rehabilitate the water quality pond is coming in very close to the budgeted amount. There was a question regarding the pedestrian crossing at Shell and Williams Drive and it was reported that sensors would be going in soon. Page 4 of 28 Georgetown Village PID Page 3 of 3 Meeting: December 12, 2016 There was a request to look into the mowing of the pond areas, including KB Homes ponds, and to remove the silt fence behind the 700 block of Westbury. Nuner reported that the maintenance contractor was mowing, picking up trash and refilling mutt-mitts twice a month now. They would be going on a month to month invoicing schedule until the city bid was issued. Jamie Beran was conducting irrigation audits this week. The roundabouts were completed and they were working on the final electricity hook-ups. They were expected to have a final inspection within the following two weeks. All mutt-mitt issues should be resolved at this point. Nuner is looking at the maintenance contract scope of work that is going to bid for possible suggestions to the city purchasing department. Tree trimming is complete and is being reviewed by the Urban Forester for final payment. The large dead tree on Shell Road was removed. Adjournment Motion by Ortego to adjourn. Second by Goodman. There is hereby created the Georgetown Village Public Improvement District No. 1 Advisory Board (the "Advisory Board") for the Georgetown Village Public Improvement District No. 1 (the “District”). (Ord. No. 2005-47, § 2) Sec. 2.115.020. - Purposes. A. The Advisory Board shall provide recommendations on the ongoing Service Plan and Assessment Plan, consistent with Chapter 372 of the Texas Local Government Code, to the City Council for those public improvements within the District identified in the approved Assessment Plan, as amended. The Service Plan shall be for five (5) years, and shall be reviewed and updated annually. The Assessment Plan shall be included in the annual review of the Service Plan. The annual updates and Assessment Plan shall be reviewed and approved by the City Council. B. The Advisory Board shall prepare for the City Council's review and approval provide recommendations on the an annual budget for the construction and maintenance of the assessed public improvements within the District to the City Council. for the Georgetown Village Public Improvement District No. 1 (the "District") consistent with Chapter 372 of the Texas Local Government Code, Ordinance No. 99-22 (relating to the creation of the District and the levying of assessments on property in the District), and the Service and Assessment Plan for the District, as these may be amended from time to time. The District’s annual budget shall be reviewed and approved by the City Council. B. Upon approval of the District budget by the City Council, and the disbursement by the City of the GTVPID assessments to the District, the Board shall oversee and administer the maintenance and management of those improvements in District authorized to be funded by District assessments in accordance with Chapter 372 of the Texas Local Government Code, Ordinance No. 99-22 (relating to the creation of the District and the levying of assessments on property in the District), the Service and Assessment Plan for the District, and the City Council approved budget for the District, as these may be amended from time to time. C. The Advisory Board is responsible to and shall act as an advisory body to the Council and shall perform such duties and exercise such additional powers as may be described by ordinances of the Council not inconsistent with the provisions of the City Charter, Chapter 372 of the Texas Local Government Code, Ordinance No. 99-22 (relating to the creation of the District and the levying of assessments on property in the District), the Service and Assessment Plan for the District, and the City Council approved budget for the District, as these may be amended from time to time. However, the ultimate authority for making decisions regarding the District lies with the City Council. D. All Advisory Board members shall serve without compensation. (Ord. No. 2005-47, § 2) Page 7 of 28 *** DRAFT *** Page 2 Sec. 2.115.030. - Members and terms. A. The Advisory Board shall consist of seven (7) members and up to three two (32) alternates with voting privileges for any absent GV Member nominated by the Board in accordance with the procedures detailed in the Advisory Board's bylaws, appointed by the mayor, and confirmed by City Council as follows: i. Five (5) of the members shall be resident homeowners in the Georgetown Village subdivision ("GV Members"). Whenever possible, each GV Member shall represent a different section within the Georgetown Village subdivision. ; ii. tTwo (2) members shall be members representatives of the entity that is developing the Georgetown Village PUD Concept Plan approved by City Council on January 14, 1997, last amended on March 28, 2000 ("Development Members"). At such time as the development of the 811-acre Georgetown Village projectPUD Concept Plan is complete, as determined by the Development Members, the two (2) Development Members shall resign and be replaced by two (2) GV Members. iii. Alternate Members shall be resident homeowners in the Georgetown Village subdivision. Each individual appointed as an Alternate Member shall be appointed as either Alternate Member 1 or Alternate Member 2, and each shall rotate as the Alternate Member serving as a GV Member when needed. B. The term of office for all Advisory Board members shall be two (2) years. C. GV Members may be re-appointed once by the City Council, for a maximum consecutive service period of four (4) years. After serving a maximum consecutive four-year period, and after a period of two (2) years has elapsed since the end of the GV Member's last term, the GV Member may reapply again and be nominated and appointed to serve for an additional term in accordance with this section. D. There are no limits on the terms of the Development Members. E. Vacancies in the positions of GV Members shall may be filled by the an Aalternate representing the same homeowner groupsubdivision section, if available, until the vacancy is filled. Alternate Members shall be eligible to be appointed to the position of GV Member upon the expiration of the term of a GV Member. F. Advisory Board members may also serve as members on other City Council appointed boards, committees, or commissions. (Ord. No. 2009-40, § 2; Ord. No. 2005-47, § 2) Sec. 2.115.040. - Officers. A. The Advisory Board Officers shall be Chair, Vice-Chair and Secretary. B. The City Council shall appoint a Chair. The Advisory Board shall elect a president, vice- presidentVice-Chair, and treasurer.Secretary by a majority vote of the members at the first meeting after the annual appointment process. A non-member may serve in the ministerial position as secretary for the purposes of preparing agenda, postings, and meeting minutes that satisfy the provisions of the Texas Open Meetings Act, but if the secretary is a non- member, he or she shall not be entitled to vote or to take any other official actions other than preparing agenda, postings, and meeting minutes that satisfy the provisions of the Texas Open Meetings Act. Page 8 of 28 *** DRAFT *** Page 3 C. The Officers shall serve for a term on one (1) year. B. Any officer shall be entitled to enter into any contract or to execute and deliver any instrument in the name of the Board, provided that the officer has obtained authorization from the Board and provided further that the contract or instrument is not inconsistent with Chapter 372 of the Texas Local Government Code, Ordinance No. 99-22 (relating to the creation of the District and the levying of assessments on property in the District,) and the Service and Assessment Plan for the District, and the City Council approved budget for the District, as these may be amended from time to time. C. The Board may establish such procedures, rules and regulations pertaining to officers as it may deem desirable, provided that those procedures are not inconsistent with this Chapter of the City Code of Ordinances, Chapter 372 of the Texas Local Government Code, Ordinance No. 99-22 (relating to the creation of the District and the levying of assessments on property in the District), the Service and Assessment Plan for the District, or the City Council approved budget for the District, as these may be amended from time to time. (Ord. No. 2009-40, § 3; Ord. No. 2005-47, § 2) Sec. 2.115.050. - Meetings, quorum and voting. A. The Advisory Board shall hold an official meeting at least quarterly monthly and may hold special meetings upon request of the PresidentChair, or the request of two (2) or moreof the Board members. B. A majority of the total regular members of the Board (minimum 4 members) constitutes a quorum for meetings. C. Provided a quorum is present, an item must be approved by a simple majority of the Board members present at the meeting at which the item is posted for action and discusseddiscussion. (Ord. No. 2005-47, § 2) Sec. 2.115.060. - Bylaws. The Advisory Board shall establish such bylaws for its governance and procedures consistent with the laws of this State and the ordinances of the City Charter and the City Code of Ordinances. The bylaws shall be effective upon approval by the City Council. (Ord. No. 2005-47, § 2) Sec. 2.115.070. - Open meetings. Each meeting of the Board shall be posted in compliance with the Open Meetings Act and shall be open to the public. (Ord. NAME AND PURPOSE Section 1.1. Name. Georgetown Village Public Improvement District No. 1 Advisory Board (“Advisory Board”). Section 1.2. Purpose. The Advisory Board is established for the purpose of providing recommendations on the ongoing Service Plan and Assessment Plan, consistent with Chapter 372 of the Texas Local Government Code, to the City Council for those public improvements within the Georgetown Village Public Improvement District No. 1 (“District”) identified in the approved Assessment Plan, as amended. The Service Plan shall be for five (5) years, and shall be reviewed and updated annually. The Assessment Plan shall be included in the annual review of the Service Plan. The Advisory Board is also responsible for providing recommendations on the annual budget for the construction and maintenance of the assessed public improvements within the District to the City Council. See Code of Ordinances Chapter 2.115. ARTICLE II. MEMBERSHIP Section 2.1. Number of Members. The Advisory Board will be comprised of seven (7) Members, and up to two (2) alternates. Section 2.2. Eligibility. Five (5) of the members shall be resident homeowners in the Georgetown Village subdivision ("GV Members"). Whenever possible, each GV Member shall represent a different section within the Georgetown Village subdivision. Two (2) members shall be representatives of the entity that is developing the Georgetown Village PUD Concept Plan approved by City Council on January 14, 1997, last amended on March 28, 2000 ("Development Members"). At such time as the development of the Georgetown Village PUD Concept Plan is complete, the two (2) Development Members shall resign and be replaced by two (2) GV Members. Each individual appointed as an Alternate Member shall be appointed as either Alternate Member 1 or Alternate Member 2, and each shall rotate as the Alternate Member serving as a GV Member when needed. Section 2.4. Terms of Office. The terms of office for each member shall be two (2) years. A GV Member may serve two (2) consecutive terms. After serving a maximum consecutive four- year period, and after a period of two (2) years has elapsed since the end of the GV Member's last term, the GV Member may reapply and be appointed to serve for an additional term in accordance with this section. There are no limits on the number of terms for the Development Members. Alternate Members shall be eligible to be appointed to the position of GV Member upon the expiration of the term of a GV Member. Refer to Ordinance Section 2.36.030A for additional provisions regarding terms of office. Section 2.5. Vacancies. Vacancies that occur during a term shall be filled as soon as reasonably possible and in the same manner as an appointment in accordance with the City Charter. An Alternate Member may serve as a GV Member representing the same homeowner group, if available, until the vacancy is filled. An appointment to fill a vacated term is not included as a term for purposes of counting consecutive terms. Section 2.6. Compensation and Expenditure of Funds. Members serve without compensation. The Advisory Board and its members have no authority to expend funds or to incur or make an obligation on behalf of the City unless authorized and approved by the City Council. Section 2.7. Compliance with City Policy. Members shall comply with City Ordinances, Rules and Policies applicable to the Advisory Board and the members, including but not limited to Code of Ordinances Chapter 2.20, Ethics, and Chapter 2.36, City Commissions, Committees and Advisory Boards. Section 2.8. Removal. Any member may be removed from their position on the Advisory Board for any reason, or for no reason, by a majority vote of the City Council. ARTICLE III. ADVISORY BOARD OFFICERS Section 3.1. Officers. The Advisory Board Officers are Chair, Vice-Chair and Secretary. Section 3.2. Election of Officers. The Chair of the Board is appointed by the City Council. All other officers shall be elected by a majority vote of the Advisory Board at its first meeting after the annual appointment process. Section 3.3. Terms of Office for Advisory Board Officers. Advisory Board Officers serve for a term of one year. In the event of vacancy in the office of Chair , the Vice-Chair shall serve as Page 11 of 28 *** DRAFT *** Georgetown Village Public Improvement District 1 Advisory Board Bylaws Issues February 2017 Page 3 of 6 Chair until the City Council appoints a replacement Chair. A vacancy in the other offices shall be elected by majority vote of the Advisory Board at the next regularly scheduled meeting, or as soon as reasonably practical for the unexpired term. If possible, an Advisory Board Officer shall continue to serve until the vacancy is filled. Alternates may not serve as Officers. Section 3.4. Duties. The Chair presides at all meetings and performs all other duties pertaining to the office, including voting. The Vice-Chair in the absence of the Chair performs all duties of the Chair. The Secretary keeps records of proceedings of all meetings. Staff Liaison will keep custody of all records and documents of the Advisory Board. ARTICLE IV. MEETINGS Section 4.1. Time and Date of Regular Meeting. The Advisory Board shall meet once a month on the same week of the month, the same day of the week, at the same time, and at the same place. The regular date, time and place of the Advisory Board meeting will be decided by the members at the first meeting of the Advisory Board after the annual appointment process. Section 4.2. Agenda. Items may be placed on the agenda by the Chair, the City Manager or designee, or at the request of a member. The party (or individual) requesting the agenda item will be responsible for preparing an agenda item cover sheet and for the initial presentation at the meeting. Items included on the agenda must be submitted to the Staff Liaison no later than one week before the Advisory Board meeting at which the agenda item will be considered. Agenda packets for regular meetings will be provided to the members in advance of the scheduled Advisory Board meeting. Agenda packets will contain the posted agenda, agenda item cover sheets, and written minutes of the last meeting. Section 4.3. Special Meetings. Special meetings may be called by the Chair or two of the members. Section 4.4. Quorum. A quorum shall consist of four (4) members and shall be required for the Advisory Board to convene a meeting and to conduct business at a meeting. No business meeting may be convened, nor business conducted, without a quorum. Section 4.5. Call to Order. Advisory Board meetings will be called to order by the Chair or, if absent, by the Vice-Chair. In the absence of both the Chair and Vice-Chair, the meeting shall be called to order by the Secretary, and a temporary Chair shall be elected to preside over the meeting. Section 4.6. Conduct of Meeting. Advisory Board meetings will be conducted in accordance with these Bylaws and City Council Meeting Rules and Procedures, as applicable to the Advisory Board. See Code of Ordinances Chapter 2.24, City Council Meeting Rules and Procedures. Each Member shall vote on all agenda items, except on matters involving a conflict of interest, substantial financial interest or substantial economic interest under state law, the City’s Ethics Ordinance, or other applicable Laws, Rules and Policies. In such instances, the member shall make the required disclosures and shall refrain from participating in both the discussion and vote on the matter. The member may remain at the dais or leave the dais, at the member’s option, while the matter is being considered and voted on by the other Advisory Board members. Unless otherwise provided by law, if a quorum is present, an agenda item must be approved by a majority of the Advisory Board members present at the meeting. Section 4.8. Minutes. A recording or written minutes shall be made of all open sessions of Advisory Board meetings. The Staff Liaison is the custodian of all Advisory Board records and documents. Section 4.9. Attendance. Members are required to attend Advisory Board meetings prepare d to discuss the issues on the agenda. A member shall notify the Staff Liaison if the member is unable to attend a meeting. Excessive absenteeism will be subject to action under Council policy and may result in the member being replaced on the Advisory Board. See Ordinance Section 2.36.010D. Excessive absenteeism means failure to attend at least 75% of regularly scheduled meetings, including Advisory Board meetings and Subcommittee meetings. If a member is removed from the Advisory Board that position shall be considered vacant and a new member shall be appointed to the Advisory Board in accordance with Section 2.5 above. Section 4.10. Public Participation. In accordance with City policy, the public is welcome and invited to attend Advisory Board meetings and to speak on any item on the agenda. A person wishing to address the Advisory Board must sign up to speak in accordance with the policy of the Council concerning participation and general public comment at public meetings. Sign-up sheets will be available and should be submitted to the Chair prior to the start of the meeting. If any written materials are to be provided to the Advisory Board, a copy shall also be provided to the Staff Liaison for inclusion in the minutes of the meeting. Speakers shall be allowed a maximum of three minutes to speak, but may take up to six minutes if another individual who signs up to speak yields the time to the speaker. If a person wishes to speak on an issue that is not posted on the agenda, they must file a written request with the Staff Liaison no later than one week before the scheduled meeting. The written request must state the specific topic to be addressed and include sufficient information to inform the Advisory Board and the public. A person who disrupts the meeting may be asked to leave and be removed. Section 4.11. Open Meetings. Public notice of Advisory Board meetings shall be provided in accordance with the provisions of the Texas Open Meetings Act. All Advisory Board meetings and deliberations shall be open to the public, except for properly noticed closed session matters, and shall be conducted in accordance with the provisions of the Texas Open Meetings Act. A recording or certified agenda shall be made of all closed sessions of Advisory Board meetings. ARTICLE V. REPORTS TO CITY COUNCIL At the request of the City Council, the Advisory Board shall meet with City Council to determine how the Advisory Board may best serve and assist City Council. City Council may hear reports from the Advisory Board during a regularly scheduled Council meetings. ARTICLE VI. SUBCOMMITTEES Section 6.1. Formation. KB Homes has been notified of the issue and are looking into it. Lights will be installed in January. Village Commons Roundabout had several issues. The wrong block for the walls. installer will remove existing and replace with the correct materials. Lighting needs to be wired and installed. A pay app was submitted for $35,000 for the work completed and materials purchased.
