The springs have been landscaped. The bridge is set but awaiting concrete the week of September 9th. Wayfinding signage has been installed. Revegetation is ongoing. The project is beyond scheduled time for contract dates. Spring landscaping Wayfinding Signage Page 4 of 29 Katy Crossing Trail –The trail corridor has been cleared. Culvert boxes and drainage are to start the week of September 2nd. Katy Crossing Trail Corridor Trail Reconstruction – 2018 phase II reconstruction of the San Gabriel River Trail is scheduled to be completed in summer of 2019. Purchasing is reviewing the bid documents for final preparation for bid in October. Addressing concerns based on legal review. Reworking bid packet. No change. Wolf Ranch Trail – Trail corridor is cut. 40% of 10’ wide trail has been poured. Completion is scheduled for November, 2019. Page 5 of 29 Recreation Center Temporary Closure The Georgetown Recreation Center was temporarily closed September 1-8, for proactive facility maintenance, upgrades, staff training and deep cleaning. The closure allowed us to address facility needs safely and efficiently to minimize impacts during the rest of the year. Some examples include fumes from paint and cleaning materials, construction dust, and movement of large equipment. The indoor pool remains closed until September 15th. Page 6 of 29 Page 7 of 29 Page 8 of 29 2019 CIP Projects VFW Park Parking Lot –Complete Berry Creek Neighborhood Park –Parks will act as the general contractor for the Golden Bear Park project with several parts being installed by staff. Parks has taken delivery of the playground units. Engineering services have been secured. Park design and layout is being completed with engineering firm and park staff. Design has been sent to TCEQ for approval of WPAP exemption. Project is on schedule and moving forward. Kelly Park – Renovations through the Capital Repair and Replacement Fund. Project is on hold. NOW, THEREFORE, in consideration of the premises; in furtherance of the mutual benefits to be derived by the general public and the residents of the Oaks at San Gabriel; and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the CITY and the MUD agree as follows: 1. RECITALS ADOPTED 1.1. The recitals set out above in this instrument are hereby adopted in whole as though each were set out herein. 2. PUBLIC PARKLAND Page 12 of 29 {00010874 / v2 / EXT / PARKS / AGMT / 8/30/2019} 2 2.1. Maintenance by MUD. The CITY authorizes the MUD, at the sole cost and expense of the MUD, to provide general routine maintenance for the portion of the hike and bike trail located within the Parkland, including, but not limited to, mowing, weeding, tree trimming, regular trash collection and removal of vegetation. 3. CITY RIGHTS TO PUBLIC PARKLAND 3.1 This Agreement is expressly subject and subordinate to the present and future right of the CITY, its successors, assigns, lessees, grantees, and licensees, to construct, install, establish, maintain, use, operate, and renew any public utility facilities, or franchised public utilities, beneath or above the surface of the Public Parkland. 3.2 Nothing in this Agreement shall be construed to limit in any way the power of the CITY to alter or improve the Public Parkland pursuant to official action by the CITY or its successors. The CITY shall endeavor to provide the MUD with notice of proposed improvements, but shall be under no obligation to do so prior to commencement of work on such improvements. 4. INSURANCE 4.1 Prior to the commencement of any work under this Agreement, the MUD shall furnish copies of all required endorsements and an original completed Certificate(s) of Insurance to the CITY's City Manager, which shall be clearly labeled with the legal name of the Oaks at San Gabriel Public Parks project in the Description of Operations block of the Certificate. The Certificate(s) shall be completed by an agent and signed by a person authorized by that insurer to bind coverage on its behalf. The CITY will not accept Memorandum of Insurance or Binders as proof of insurance. The Certificate(s) or form must have the agent's signature, including the signer's company affiliation, title and phone number, and be mailed, with copies of all applicable endorsements, directly from the insurer's authorized representative to the CITY. The CITY shall have no duty to perform under this Agreement until such Certificate and endorsements have been received and approved by the CITY s City Manager. No officer or employee, other than the CITY's City Manager, shall have authority to waive this requirement. 4.2 Notwithstanding the provisions of Section 4.3 below, the CITY reserves the right to review the insurance requirements of this Article during the effective period of this Agreement and any extension or renewal hereof and to modify insurance coverages and their limits when deemed necessary and prudent by CITY's City Manager based upon changes in statutory law, court decisions, or circumstances surrounding this Agreement. In no instance will the CITY allow modification at the request of the MUD whereupon the CITY may incur increased risk. 4.3 MUD’s financial integrity is of interest to the CITY; therefore, subject to the MUD's right to maintain reasonable deductibles, the MUD shall obtain and maintain in full force and effect for the duration of this Agreement, and any extension hereof, at the MUD 's sole expense, insurance coverage written on an occurrence basis, by companies authorized and admitted to do business in the State of Texas and with an A.M. Best's rating of no less than A- (VII), in the following types and for an amount not less than the amount listed: Page 13 of 29 {00010874 / v2 / EXT / PARKS / AGMT / 8/30/2019} 3 TYPE AMOUNTS 1. Commercial General Liability Insurance to include coverage for the following: a. Premises operations b. Products/completed operations c. Personal Injury d. Contractual Liability f. Sudden events involving pollution g. Broad form property damage, to include fire legal liability 2. Business Automobile Liability a. Owned/leased vehicle b. Non-owned vehicle c. Hired Vehicles Bodily Injury and Property Damage $1,000,000 per occurrence; $2,000,000 General Aggregate, or its equivalent in Umbrella or Excess Liability Coverage Combined Single Limit for Bodily Injury and Property Damage of $1,000,000 per occurrence 4.4 The CITY shall be entitled, upon request and without expense, to receive copies of the policies, declaration page and all endorsements thereto as they apply to the limits required by the CITY as may be required to comply with the terms of this Agreement. The MUD shall be required to comply with any such requests and shall submit a copy of the replacement Certificate of insurance to the CITY at the address provided below within 30 days of the requested change. The MUD shall pay any costs incurred resulting from said changes. City of Georgetown Attn.: City Manager P.O. Box 409 Georgetown, TX 78627 4.5 The MUD agrees that with respect to the above required insurance, all insurance policies are to contain or be endorsed to contain the following provisions: Page 14 of 29 {00010874 / v2 / EXT / PARKS / AGMT / 8/30/2019} 4 • Name the CITY, its officers, officials, employees, volunteers, and elected representatives as additional insured's by endorsement, as respects operations and activities of, or on behalf of, the named insured performed under contract with the CITY, with the exception of the workers' compensation and professional liability policies; • Provide for an endorsement that the “other insurance” clause shall not apply to the CITY when the CITY is an additional insured shown on the policy; • Workers’ compensation and employers’ liability policies will provide a waiver of subrogation in favor of the CITY. 4.6 The MUD agrees to give the CITY written notice of any suspension, cancellation, non-renewal or material change in coverage of any of the insurance policies required to be obtained and maintained by the MUD under the terms of this Agreement. Within five (5) calendar days of a suspension, cancellation or non-renewal of coverage, the MUD shall provide a replacement Certificate of Insurance and applicable endorsements to the CITY. The CITY shall have the option to suspend the MUD’s authorization and liability under this Agreement should there be a lapse in coverage at any time during this Agreement. Failure to provide and to maintain the required insurance shall constitute a material breach of this Agreement. 4.7 Nothing herein contained shall be construed as limiting in any way the extent to which the MUD may be held responsible for payments of damages to persons or property resulting from the MUD’s performance of the work covered under this Agreement. 4.8 It is agreed that the MUD's insurance shall be deemed primary and non-contributory with respect to any insurance or self-insurance carried by the CITY for liability arising out of operations under this Agreement. 4.9 It is understood and agreed that the insurance required is in addition to and separate from any other obligation contained in this Agreement. 5. INDEMNIFICATION 5.1 MUD INDEMNIFIES THE CITY ONLY FOR CLAIMS ATTRIBUTED TO MUD AND MUD ASSUMES ENTIRE RESPONSIBILITY AND LIABILITY FOR ANY CLAIM OR ACTIONS BASED ON OR ARISING OUT OF INJURIES, INCLUDING DEATH, TO PERSONS OR DAMAGES TO OR DESTRUCTION OF PROPERTY, SUSTAINED OR ALLEGED TO HAVE BEEN SUSTAINED IN CONNECTION WITH OR TO HAVE ARISEN OUT OF OR INCIDENTAL TO THE PERFORMANCE OF THE MAINTENANCE SERVICES DESCRIBED IN PARAGRAPH 2.1 BY THE MUD, ITS AGENTS AND EMPLOYEES, AND ITS SUBCONTRACTORS, THEIR AGENTS AND EMPLOYEES. This Agreement may be terminated by the MUD no sooner than one (1) year after the effective date of this Agreement by delivering written notice of termination to the CITY not later than 30 days before the effective date of termination. 6.2 Termination by the CITY. This Agreement may be terminated by the CITY no sooner than one (1) year after the effective date of this Agreement by delivering written notice of termination to the MUD not later than 30 days before the effective date of termination. 7. ASSIGNMENT 7.1 The MUD shall not assign, sublet or transfer its interest in this Agreement without the prior written consent of the CITY, which may be withheld for any reason. If such consent is granted, its shall then be the duty of the MUD, its successors and assigns, to give prompt written notice to the CITY of any assignment or transfer of any of the MUD's rights in this Agreement. 8. MISCELLANEOUS PROVISIONS 8.1 Laws Observance. The MUD shall not do, nor suffer to be done, anything on the Public Parkland during the term of this Agreement in violation of the laws of the United States, the State of Texas, or any of the ordinances of the CITY. 8.2 No Waiver. No waiver by the CITY of any default or breach of any covenant, condition, or stipulation herein contained shall be treated as a waiver of any subsequent default or breach of the same or any other covenant, condition, or stipulation hereof. 8.3 Severability. In case any one or more of the provisions contained in this Agreement shall for any reason be held to be invalid, illegal, or unenforceable in any respect, such invalidity, illegality, or unenforceability shall not affect any other provision thereof, and this Agreement shall be considered as if such invalid, illegal, or unenforceable provision had never been contained herein. 8.4 Notice. Any notices required or appropriate under this Agreement shall be given in writing to the MUD at West Williamson County Municipal Utility District No. 1, c/o Armbrust & Brown, PLLC, 100 Congress Avenue, Suite 1300, Austin, TX 78701, and to the CITY at City of Georgetown; Attn.: City Manager; P.O. Box 409; Georgetown, TX 78627. 8.5 Headings. The paragraph headings contained herein are for convenience of reference and are not intended to define, extend, or limit any provisions of this Agreement. 8.6 Jurisdiction and Venue. This Agreement will be interpreted according to the Constitution and laws of the State of Texas. Venue of any court action brought directly or indirectly by reason of this Agreement shall be in Williamson County, Texas. This Agreement is made and is to be performed in Williamson County, Texas, and is governed by the laws of the Page 16 of 29 {00010874 / v2 / EXT / PARKS / AGMT / 8/30/2019} 6 State of Texas. 8.7 Authorization. The signers of this Agreement each hereby represents that he or she has full authority to execute this Agreement on behalf of the party for which he or she is acting. 8.8 Entire Agreement. This Agreement and addenda contain the final and entire agreement between the PARTIES hereto and contains all of the terms and conditions agreed upon, and supersedes all other agreements, oral or otherwise, regarding the maintenance of the Public Parkland, none of which shall hereafter be deemed to exist or to bind the PARTIES hereto; it being the intent of the PARTIES that neither shall be bound by any term, condition, or representation not herein written. 8.9 Term. This Agreement shall be effective for one year from the last signature hereto, and shall automatically renew for additional one-year terms, unless otherwise terminated in accordance herewith. Termination of this Agreement shall automatically result in termination of the Revocable License Agreement of even date entered into between the parties hereto. T he P arks Department is proposing the removal of E W F and replac ing with poured in plac e (P I P ) s urfac ing. E W F req uires a c ons id erab le amount of maintenance through raking and replac ement to ens ure that the p ro p er depths are maintained fo r fall s afety. E W F is a lo os e fill material whic h tend s to d is p lac e eas ily d ue to heavy p layground use. S taff has seen a negative impac t at S an Jose P ark and G arey P ark s p las h p ad s as a result of this dis plac ement. Drains and s p ray features b ec ome clogged creating sys tem failure whic h res ults in splas h p ad c lo s ures. R eplac ing the E W F at thes e two areas will d ecrease the amo unt o f maintenanc e need ed at thes e s plash pads, increase s p las h p ad eq uipment life, and red uc e c lo s ures . Dis p laced E W F als o affec ts the acc es s ib ility of a p laysc ap e by c reating uneven areas and reduc ing mobility within playground areas . Installation of P I P p ro vides a c ons is tent unitary surface that meets all s afety standards and acc es s ibility req uirements. It is fully ac cessib le s urfacing fo r c hildren and c aregivers that may utilize mobility devices . Ad d itionally, ro utine maintenance on P IP is lower than EW F providing a s avings of s taff time. Robert Gaylor stated he has been with the City of Georgetown since March 2009 and started as a Recreation Supervisor and in the last 3.5 years has served in the Recreation Superintendent capacity. He is over the Recreation Center, Pools and Athletics; programs and operations at all those facilities. He graduated from Texas State University in 2006 with his undergrad degree in Psychology and in the last three years decided he wanted to go back and get his master degree in business. He stated he saw a shift in Parks and Recreation to more of a business model. He stated he supervises the Aquatic Supervisor, Program Supervisor, who runs camps at the Recreation Center, Recreation Center Supervisor who is over operations and a Recreation Center Supervisor over Athletics and Fitness. All these individuals are Robert Gaylor’s direct reports. Robert Gaylor stated staff looked at the maintenance at the Recreation Center and states staff takes pride in this wanting to make sure everything is running well and are doing all the upgrades and preventative maintenance that needs to be done. He stated over a period of a year staff recognized that certain areas were being closed for maintenance. Staff spoke to other recreation centers and decided that it would be in our best interest to close for a certain duration of time to complete everything. All the contractors would be hired at once instead of piecing it throughout the year. He explained that an annual facility closure will start this year and it is scheduled September 1 – 8 for the recreation center and the indoor pool will be closed September 1 – 15 and will require a little extra time. All the contractors are being coordinated and this gives staff time to tell the story of all the improvements that are being done and the maintenance that is being done to the facility so it can be the best facility that it can be. For the future, the overall department has a cost recovery goal and staff will dive deeper into this and make sure all the programs are doing their best job as far as what we are offering and what the public wants and we are not keeping programs over a long period of time that are not successful that are taking up spaces in the recreation center. Staff wants to make sure they are Page 25 of 29 doing the best job they can to offer what the public wants and needs but being financial stewards of taxpayer dollars and being frivolous with that. In addition, Quick Tap surveys are at all the entrances at the Recreation Center. This is a way to gauge everybody’s satisfaction immediately. In the past surveys were sent out and now the focus is on getting immediate feedback. There have been 5,000 – 6, 000 responses so far. There is a 97% - 98% satisfaction rate. It was asked if there was something that stands out either being good or bad. Robert Gaylor stated that the most thing that comes out that is negative are things that are a little bit out of our control such as space being occupied or pool sharing. The positives are for the staff; the welcoming nature and good customer service. He stated the recreation center is working on a customer service standards initiative. Every three months they bring up a new topic for everyone to focus on. Robert Gaylor stated there is a brief gap at the end of summer when programs slow down and there are constant programs going on at the recreation center. They picked this time for closure as it is least impactful. He stated they paired it up with Labor Day weekend as the recreation center would be closed one day anyway. The major repairs are the gym floor replacement in the 2nd gymnasium, indoor pool plaster and indoor pool deck. Kimberly Garrett stated there will also be a deep clean done. She stated when people enter the building they will be able to tell the difference. Robert Gaylor stated that other centers they spoke to said it was beneficial and as long as they did a good job reinforcing the reason behind it and what was completed, overall they got positive feedback. He stated the library does this as well for inventory and restocking purposes. He stated he anticipates the initial shock factor but overtime it will be valuable. It was asked what the revenue hit would be or would you overall see increased cost because of having to shut down. Robert Gaylor stated that staff will be working on the deep clean and it will not be all contracted out. He stated there will be a financial hit but feels in the long run it will be beneficial in keeping the equipment up and not inconvenience members by doing the different projects throughout the year. Kimberly Garrett stated most members have annual memberships and we might lose a little revenue from the monthly memberships and people that walk in. She stated Williams Drive Pool may be open during this time to provide an alternative. Robert Gaylor stated there will still be staff to answer phones and clients can register for programs and rentals. It was asked what the percentage of online registration was vs. walk in. Robert Gaylor stated it depended on the programs; with camps it is about 40% online and memberships are done mostly in person because they are already there. Kimberly Garrett stated we will learned from the process this first year. We want people to notice that there was work done and improvements made. D Update from the Friends of Georgetown Parks and Recreation - Danelle Houck, Parks and Recreation Advisory Boardmember Danelle Houck stated there have been some camp sign up but this is the busiest month for Georgetown Swims. Normally they only do lessons on Tuesdays and Thursdays with the Boys and Girls Club. Now, on Mondays and Wednesdays, at River Ridge, they also do lessons with EGA who represent individuals with a range of disabilities. There are 15 participants in this program and there are 4 instructors. There is a waitlist for the EGA program. The annual meeting of the Friends will be in September. It was asked about the Heritage Community Garden and the Friends group working together but nothing has happened yet. Page 26 of 29 E Project Updates and Staff Report - Kimberly Garrett, Parks and Recreation Director Kimberly Garrett stated the San Gabriel Park Improvements Phase II is winding down. Staff did a really hard push before the 4th of July to get a lot of the items completed. The restrooms are 98% complete. The parks maintenance workers installed all the 2 playgrounds and swings prior to the 4th of July event. She stated the springs are almost complete. There is site cleanup being done. On the Katy Crossing Trail, we did receive the paperwork on the grant to start the project and on Tuesday the City Council accepted the grant. The contractors were given notice to proceed and they are ready to start. Kimberly Garrett stated she didn’t expect it to take more than 90 days from start, but you never know. It will be a 10 foot wide trail. The grant is $200,000 which account for almost half of the cost of the trail. Kimberly Garrett stated at the last meeting, Dave Melaas talked about the trail reconstruction, the ADA work and staff was looking at different options on how to bid a project not knowing how far the money is going to go. The Berry Creek Neighborhood Park that we are calling Golden Bear, the playground is on order and hope to have this project finished by late fall. Kelley Park is on hold with ownership issues. F Update on the July 9th council workshop CIP sizing exercise. - Kimberly Garrett, Parks and Recreation Director Kimberly Garrett stated she thought City Council was going through the CIP projects but they went through and talked about the City’s revenues, tax rate and debt. They went through a scenario on property values and how much was still in protest. The city manager will go over the CIP during Council workshop next week on the budget. She stated there was much talk about Heritage Gardens. The other project that has come up is the Tennis Center pool closure and demo. Kimberly Garrett stated she has worked with staff to come up with a FAQ about the Tennis Center pool and is it on the parks and recreation website. The masterplan was favorable, in addition to the trail behind Wolf Crossing, the design of San Gabriel Park Phase III, and continuing the ADA improvements. Legislative Regular Agenda G Consideration and possible action to recommend approval for replacement of indoor pool plaster and renovation of indoor pool deck to Progressive Commercial Aquatics of Manor, TX using Buyboard contract #533-17 in the amount of $114,897. - Kimberly Garrett, Parks and Recreation Director Background information: The plaster at the Recreation Center Indoor Pool is over 11 years old and is the original plaster that was installed in 2008. It needs to be replaced to ensure no unscheduled pool closure occurs due to failure. The typical lifespan of plaster is 8-12 years. Additionally, the existing pool deck coating has begun to chip and flake and needs to be replaced. The deck coating has proven not to be a viable long term option due to the nature of the indoor pool environment. Progressive has provided a proposal to remove the existing deck coating and stamp the concrete to provide a slip-resistant and ascetically pleasing alternative to the existing coating. This process adds texture and slip resistance to the existing pool deck and does not rely on coatings or additives. As a result, there is no impact from the indoor environment. Page 27 of 29 Progressive Commercial Aquatics has successfully completed many pool projects for the City including the Williams Drive Pool renovations, River Ridge Pool renovations, San Jose Splash Pad and multiple pool plaster projects. Staff recommends the approval of this cooperative BuyBoard contract for the plaster replacement and deck renovation at the Recreation Center Indoor Pool in the amount of $114,897 to Progressive Commercial Aquatics. Robert Gaylor stated that the indoor pool’s current plaster is the existing plaster from 2008 when the facility was expanded and typical lifespan is 10 -12 years and we are at 11 years right now. With the opportunity of the recreation center closure it would be a good time to replace. They will also be replacing the fire suppression system in the indoor pool area as well. He stated every 3 years they like to drain the pool. In addition, the existing coating on the deck is chipping significantly and he stated it is unsightly. It looks far dirtier than what it is. It is extremely hard to clean. To clean it you have to use a pressure washer and it chips it up. If you get all the way down to the concrete there is then a slip hazard. Staff is looking at solving all those issues with the presented proposal. The existing coating will be removed, and the concrete will be stamped to offer slip resistance, it looks good and is easy to clean. A layer of concrete will be added and a design will be put in the concrete. Kimberly Garrett stated this is something that has been saved for in the special revenue fund. It was asked if Progressive is the only company that can do this type of work. Robert Gaylor explained that Progressive is on the BuyBoard and staff has worked with them on numerous renovations in the past and they have done good work. This will go to council the beginning of August.
