RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
GEORGETOWN CONDITIONALLY AUTHORIZING THE
RELEASE AND ABANDONMENT OF A PORTION OF A PUBLIC
UTILITY EASEMENT THAT WAS CONVEYED TO THE CITY OF
GEORGEWTOWN ON THE PLAT RECORDED UNDER
DOCUMENT NUMBER 2023052449 OF THE OFFICIAL PUBLIC
RECORDS OF WILLIAMSON COUNTY, TEXAS
WHEREAS, in 2023, PDC Williams Plaza, Ltd., a Texas limited partnership, a
predecessor -in -title to TRRP Holdings Ltd., a Texas limited partnership ("Owner"),
conveyed to the City of Georgetown (the "City") a Public Utility Easement (tile
"Easement") across a portion of a certain tract of land situated in Williamson County,
Texas, such tract of land being more particularly described as Lot 1, Block B, RIVERY
COMMERCIAL SUBDIVISION, a subdivision in Williamson County, Texas, according
to the map or plat thereof recorded under Document No. 2023052449 of the Official Public
Records of Williamson County, Texas (the "Property"), for the purpose of facilitating the
extension of public utilities across the Property; and
WHEREAS, such Easement was conveyed to the City pursuant to the plat of said
RIVERY COMMERCIAL SUBDIVISION, which Plat is recorded under Document Number
2023052449 of the Official Public Records of Williamson County, Texas; and,
WHEREAS, Owner wishes to develop the Property, but a portion of the Easement is
impeding the development of the Property; and,
WHEREAS, the abandonment of a portion of the Easement, such portion of the Easement
being more particularly described by metes and bounds in Exhibit A and by diagram in Exhibit
B_ attached hereto and made a part hereof for all purposes (the "Portion to be Abandoned"), would
facilitate the development of the Property; and,
WHEREAS, Owner will convey to the City a replacement Public Utility Easement (the
"Replacement Easement") on, over, under and across 0.020 acres of land more particularly
described by metes and bounds in Exhibit C and by diagram in Exhibit D attached hereto and
made a part hereof for all purposes, which Replacement Easement will meet the City's
requirements and will provide a replacement easement for the Portion to be Abandoned; and
WHEREAS, upon considering the request for the release and abandonment of the
Portion to be Abandoned, the City Council finds that upon Owner's conveyance to the City
of the Replacement Easement, a public need for the Portion to be Abandoned will no longer
exist, and, therefore, the Portion to be Abandoned may be abandoned and released to Owner
or a successor -in -interest to Owner upon the conveyance of such Replacement Easement to
the City; and

WHEREAS, nothing herein shall operate to release the remainder portion of the
Easement or any other easement.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF GEORGETOWN, THAT:
SECTION 1. The facts and recitations contained in the preamble of this Resolution are
hereby found and declared to be true and correct and are incorporated by reference herein and
expressly made a part hereof, as if copied verbatim.
SECTION 2. Upon the conveyance of the Replacement Easement to the City, the
Mayor is hereby authorized to execute a Quitclaim in substantially the same form attached
hereto as Exhibit E and any other conveyance document(s) necessary to complete the
release and abandonment of the Portion to be Abandoned, and the City Secretary is
hereby authorized to attest thereto on behalf of the City of Georgetown.
SECTION 3. The Mayor is hereby authorized to sign this Resolution and the City
Secretary to attest. This Resolution shall be effective immediately upon adoption and
execution by the Mayor.
