"City"), hereby certify as follows:
1. The City Council of the City convened in REGULAR MEETING ON THE
DAY OF AUGUST, 2025, (the "Meeting"), and the roll was called of the duly constituted
officers and members of the City, to -wit:

DISTRICT; MAKING RELATED FINDINGS; SETTING THE DATE FOR A PUBLIC
HEARING UNDER SEC. 372.009 OF THE TEXAS LOCAL GOVERNMENT CODE ON
THE ADVISABILITY OF THE CREATION OF THE HEIRLOOM PUBLIC
IMPROVEMENT DISTRICT WITHIN THE CITY OF GEORGETOWN, TEXAS; AND
PROVIDING AN EFFECTIVE DATE.
was duly introduced for the consideration of the City Council. It was then duly moved and
seconded that the Resolution be passed on first reading; and, after due discussion, said motion
carrying with it the passage of the Resolution, prevailed and carried by the following vote:

the Meeting pertaining to the passage of the Resolution; that the persons named in the above and
foregoing paragraphs are the duly chosen, qualified and acting officers and members of the City

and sufficiently notified officially and personally, in advance, of the time, place and purpose of
the Meeting, and that the Resolution would be introduced and considered for passage at the
Meeting, and each of the officers and members consented, in advance, to the holding of the
Meetings for such purpose, and that the Meeting was open to the public and public notice of the
time, place and purpose of the meeting was given, all as required by Chapter 551, Texas
Government Code, as amended.
3. The Mayor of the City has approved and hereby approves the Resolution; that the
Mayor and the City Secretary of the City have duly signed the Resolution; and that the Mayor
and the City Secretary of the City hereby declare that their signing of this Certificate shall
constitute the signing of the attached and following copy of the Resolution for all purposes.

A RESOLUTION OF THE CITY OF GEORGETOWN, TEXAS
ACCEPTING A PETITION FOR CREATION OF THE HEIRLOOM
PUBLIC IMPROVEMENT DISTRICT; MAKING RELATED
FINDINGS; SETTING THE DATE FOR A PUBLIC HEARING
UNDER SEC. 372.009 OF THE TEXAS LOCAL GOVERNMENT
CODE ON THE ADVISABILITY OF THE CREATION OF THE
HEIRLOOM PUBLIC IMPROVEMENT DISTRICT WITHIN THE
CITY OF GEORGETOWN, TEXAS; AND PROVIDING AN
EFFECTIVE DATE.
WHEREAS, the City of Georgetown, Texas (the "City") is authorized by Chapter 372,
Texas Local Government Code, as amended (the "Act') to create a public improvement district
within its corporate limits and its extraterritorial jurisdiction and to levy special assessments
against property within the district to pay the costs of public improvement projects that confer a
special benefit on property within the district; and
WHEREAS, on or about July 30, 2025, Heirloom East TX, LLC, a Delaware limited
liability company, Heirloom Tx, LLC, a Delaware limited liability company, and Georgetown
Independent School District (collectively, the "Petitioners"), submitted and filed with the City
Secretary of the City (the "City Secretary"), pursuant to the Act, a petition for the creation of the
Heirloom Public Improvement District (the "Petition") requesting the establishment of a public
improvement district covering approximately 618.98 acres described in Exhibit "A", attached
hereto and incorporated herein for all purposes, to be known as the Heirloom Public Improvement
District (the "District'); and
WHEREAS, the Petitioners represents they constitute (i) the owners of taxable real
property representing more than fifty percent (50%) of the appraised value of taxable real
property liable for assessment under the proposal in the Petition, as determined by the current roll
of the appraisal district in which the property is located and (ii) the record owners of real property
that constitute more than fifty percent (50%) of the area of all taxable real property that is liable
for assessment under the proposal in the Petition; and
WHEREAS, the Act states that a Petition to create a public improvement district is
sufficient if signed by owners of more than fifty percent (50%) of the taxable real property,
according to appraised value, and either of the following: more than fifty percent (50%) of the
area of all taxable real property liable for assessment under the proposal, or more than fifty
percent (50%) of all record owners of property liable for assessment; and
WHEREAS, the Petitioners describe the general nature of the proposed public
improvements as (i) the establishment of parks and open space, together with the design,
construction and maintenance of any ancillary structures, features or amenities such as trails,
pavilions, community facilities, swimming pools, irrigation, walkways, lighting, benches, trash
receptacles and any similar items located therein; (ii) landscaping; (iii) acquisition, construction,
and improvement of water, wastewater and drainage facilities; (iv) acquisition, construction and

improvement of streets, roadways, rights -of -way and related facilities; (v) entry monumentation
and features; (vi) signage; (vii) projects similar to those listed in subsections (i) — (vi) above; and
(viii) payment of costs associated with constructing and financing the public improvements listed
in subparagraphs (i) — (vii) above, including costs of establishing, administering and operating
the District; and
WHEREAS, Petitioner estimates the cost of the proposed public improvements is
$120,000,000.00 (including issuance and other financing costs) and that said cost will be recovered
through an assessment against property in the District which will result in each parcel paying its
fair share of the costs of public improvements based on the special benefits received by the
property; and
WHEREAS, the Act further requires that prior to the adoption of the resolution
determining the boundaries of the District, the City Council of Georgetown, Texas (the "City
Council") must hold a public hearing on the advisability of the improvements, the nature of the
improvements contemplated, the estimated costs of the improvements, the boundaries of the public
improvement district, the method of assessment, and the apportionment, if any, of the costs
between the District and the City; and
WHEREAS, in order to hold a public hearing for the creation of a public improvement
district, notice must be: (i) published in a newspaper of general circulation in the City, and (ii)
mailed to the address of each owner of property located in the proposed District, as reflected on
the tax rolls, before the fifteenth (15th) day before the date of the hearing in accordance with the
Act.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF GEORGETOWN, TEXAS, THAT:
SECTION 1. The City Council hereby approves the recitals contained in the preamble of
this Resolution and finds that all the recitals are true and correct and incorporate the same in the
body of this Resolution as findings of fact.
SECTION 2. City staff reviewed the Petition and determined that same complied with
the requirements of the Act and the City Council accepts the Petition. The Petition is filed with
the office of the City Secretary and is available for public inspection.
SECTION 3. The City Council calls a public hearing to be held during its regularly
scheduled meeting beginning at 6:00 P.M. on August 26, 2025 at the Council and Court Building,
510 W. 9th Street, Georgetown, Texas, 78626 for the purpose of hearing public testimony on the
advisability of the improvements, the nature of the improvements contemplated, the estimated
costs of the improvements, the boundaries of the District, the method of assessment, and the
apportionment, if any, of the costs between the District and the City. All residents and property
owners within the District and the proposed boundaries, and all other persons, are hereby invited
to appear in person, or by their attorney, and speak on the creation of the District.

SECTION 4. The Public Hearing may be adjourned from time to time. Upon the closing
of the Public Hearing, the City Council may consider the adoption of a resolution creating the
District or may defer the adoption of such a resolution for up to six (6) months. The creation of
the District is within the sole discretion of the City Council.
SECTION 5. The Notice of Public Hearing (the "Notice") attached hereto as Exhibit
"B" is hereby adopted and approved in all respects by the City Council to provide the public notice
required by and in accordance with the Act; provided that the Notice may be updated as determined
necessary by the City to comply with the Act.
SECTION 6. The City Council hereby authorizes, directs and approves in all respects of
City staff taking and directing any and all actions necessary to comply with all requirements of
the Act in (a) publishing any notice of the public hearing in a newspaper of general circulation
in the City; and (b) mailing any notice of the public hearing to the owners of the property located
in the proposed District as reflected on the tax rolls.
SECTION 7. If any section, article, paragraph, sentence, clause, phrase or word in this
resolution or application thereof to any persons or circumstances is held invalid or
unconstitutional by a court of competent jurisdiction, such holding shall not affect the validity of
the remaining portions of this resolution; and the City Council hereby declares it would have
passed such remaining portions of the resolution despite such invalidity, which remaining
portions shall remain in full force and effect.
SECTION 8. It is hereby officially found and determined that the meeting at which this
Resolution was considered was open to the public, and public notice of the time, place and
purpose of said meeting was given, all as required by the Texas Open Meetings Act, Chapter 551,
Texas Government Code.
SECTION 9. The Mayor is authorized to sign this Resolution and the City Secretary is
authorized to attest.
SECTION 10. This Resolution shall be in full force and effect from and after its passage,
and it is accordingly so resolved.

NOTICE OF PUBLIC HEARING
REGARDING THE CREATION OF
THE HEIRLOOM PUBLIC IMPROVEMENT DISTRICT
Notice is hereby given that the City Council of the City of Georgetown, Texas will conduct a public hearing
on August 26, 2025, during the regular City Council meeting commencing at 6:00 P.M. in the Council and
Court Building, 510 W. 9th Street, Georgetown, Texas, 78626. Information about how to participate in the
public hearing is given below.
The purpose of the public hearing is to receive public comments for or against the creation of a public
improvement district on approximately 618.98 acres of land generally located North of Ronald Reagan and
West of Williams Drive (the "Land") per the petition submitted by the owners of the Land,
GEORGETOWN INDEPENDENT SCHOOL DISTRICT, a political subdivision of the State of
Texas ("GISD"), HEIRLOOM EAST TX, LLC, a Delaware limited liability company ("Heirloom
East") and HEIRLOOMTX, LLC, a Delaware limited liability company ("Heirloom TV).
("Owners") requesting creation of a public improvement district over the Land to be known as "The
Heirloom Public Improvement District" (the "District"). The location and boundaries of the Land and the
proposed District are shown in the sketch below.
Time and Place of the Hearine. The public hearing will be held on August 26, 2025, during the regular
meeting of the Georgetown City Council, which commences at 6:00 P.M., and will be held in the Council
and Court Building, 510 W. 9th Street, Georgetown, Texas, 78626.
General Nature of the Proposed Public Improvements. The general nature of the proposed public
improvements to be financed with assessments on property within the District are: (i) the
establishment of parks and open space, together with the design, construction and maintenance of
any ancillary structures, features or amenities such as trails, pavilions, community facilities,
swimming pools, irrigation, walkways, lighting, benches, trash receptacles and any similar items
located therein; (ii) landscaping; (iii) acquisition, construction, and improvement of water,
wastewater and drainage facilities; (iv) acquisition, construction and improvement of streets,
roadways, rights -of -way and related facilities; (v) entry monumentation and features; (vi) signage;
(vii) projects similar to those listed in subsections (i) — (vi) above; and (viii) payment of costs
associated with constructing and financing the public improvements listed in subparagraphs (i) —
(vii) above, including costs of establishing, administering and operating the District.
Estimated Cost of the Authorized Improvements. The estimated cost to design, acquire, and construct the
proposed public improvements is $120,000,000.00 (including issuance and other financing costs).
Proposed Boundaries of the District. The District is proposed to include the "Land," which is more
particularly described and depicted below.
Proposed Method of Assessment. An assessment methodology will be prepared that will address: (i) how
the costs of the public improvements to be financed with the assessments are assessed against property in
the District; (ii) the amount of assessments to be collected each year; and (iii) possible reduction of the
assessments for costs savings (pursuant to the annual review of the service plan for the District).
Additionally, a report will be prepared showing the special benefits accruing to the property in the District
and how the costs of the public improvements are assessed to property on the basis of special benefits. The
result will be that equal shares of the costs will be imposed on property similarly benefited, with each parcel
paying its fair share of the costs of the public improvements, and with the assessments based on the special benefits
received by the Land from the public improvements. The assessments may be paid in full at any time (including
interest and debt), and certain assessments may be paid in annual installments (including interest and debt).
The installments must be paid in amounts necessary to meet annual costs for the financing of the public
improvements and must continue for a period necessary to retire the indebtedness on the public
improvements.
Proposed Apportionment of Cost between the District and the City. Approval and creation of the District
will not obligate the City to provide any funds to finance the proposed public improvements. Municipal
property in the District, if any, shall not be assessed. It is not intended for property in the District owned by
GISD to be assessed. All of the costs of the proposed public improvements will be paid by assessments of
the property within the District, and from other sources of funds, in any, available to the Owner.
How to Participate in the Public Hearing: During the public hearing, any interested person may speak
for or against the establishment of the District and the advisability of the improvements to be made for
the benefit of the Land. The agenda for the City Council meeting will be available on-line at
