HomeMy WebLinkAboutRES 082625-6.P - Creation of Heirloom Public Improvement District (PID)RESOLUTION NO. 1, A RESOLUTION OF THE CITY OF GEORGETOWN, TEXAS, AUTHORIZING AND CREATING THE HEIRLOOM PUBLIC IMPROVEMENT DISTRICT IN ACCORDANCE WITH CHAPTER 372 OF THE TEXAS LOCAL GOVERNMENT CODE. WHEREAS, the City of Georgetown, Texas (the "City") is authorized by Chapter 372, Texas Local Government Code, as amended (the "Act") to create a public improvement district and to levy special assessments against property within the district to pay the costs of public improvement projects that confer a special benefit on property within the district; and WHEREAS, on or about July 30,2025, Heirloom East TX, LLC, a Delaware limited liability company, Heirloom Tx, LLC, a Delaware limited liability company, and Georgetown Independent School District (collectiv ely, the "Petitioners"), submitted and filed with the City Secretary of the City (the "City Secretarypursuant to the Act, a [•etition for the creation of the Heirloom Public Improvement District (the "Petition") attached as Exhibit "A" reauestinL- the establishment of a p ublic improvement district covering approximately 618.98 acres of land described in the attached Exhibit "B" (the "Property"), to be known as the Heirloom Public Improvement District (the "District"); -?.nd WHEREAS, the Petition states that the Petitioners collectively constitute owners of taxable real property representing more than fifty percent (50%) of the appraised value of taxable real property liable for assessment under the proposal in the Petition, as determined by the current roll of the appraisal district in which the property is located and (ii) the record owners of real property that constitute more than fifty percent (50%) of the area of all taxable real property that is liable for assessment under the proposal in the Petition; and WHEREAS, the City Council has determined that the Petition complies with the Act and the facts contained in the Petition are true and correct; and WHEREAS, creation of the District will allow the public improvements generally described in the Petition to be constructed or installed which confer a special benefit on the assessed portion of the Property in the District (the "Authorized Improvements"); and WHEREAS, creation of the District will also allow assessments to be made against the assessed portions of the Property in the District to reimburse the constructing Resolution No.05WO-25-5-P Heirloom — PID Creation Resolution Pagel of Petitioners for an amount not to exceed the actual costs of designing, constructing, and/or installing the Authorized Improvements, which assessment information is to be provided by Petitioners prior to consideration of any ordinance levying such assessments; and WHEREAS, after providing all notices required by the Act and the Texas Government Code Chapter 551, the City Council on August 26, 2025 conducted a public hearing to consider comments on the advisability of the improvements, the nature of the improvements contemplated, the estimated costs of the improvements, the boundaries of the public improvement district, the method of assessment, and the apportionment, if any, of the costs between the District and the City; and WHEREAS, after considering all public comments, the City Council closed the public hearing; and WHEREAS, the City Council desires to create a public improvement district as an incentive for Petitioners to construct improvements on the Property. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF GEORGETOWN, TEXAS, THAT: SECTION 1. The City Council hereby approves the recitals contained in the preamble of this Resolution, finds that all the recitals are true and correct, and incorporates the recitals in the body of this Resolution as findings of fact. SECTION 2. A true and correct copy of the Petition is attached to this Resolution as Exhibit "A " and a true and correct description of the Property is attached to this Resolution as Exhibit "13 " both of which are incorporated into this Resolution for all SECTION 3. Pursuant to the requirements of the Act, after considering the Petition and all public comments, the City Council hereby finds and declares: (a) Advisability of the Proposed Authorized Improvements. It is advisable to construct the public improvements generally described in Section 3(b) of this Resolution as "Authorized Improvements." The proposed Authorized Improvements will promote the interests of the City and will confer a special benefit on the Property. (b) General Nature of the Proposed Authorized Improvements. The general nature of the proposed Authorized Improvements are: (i) acquisition, construction, and improvement of water and wastewater facilities; (ii) landscaping; (iii) acquisition, construction and improvement of drainage facilities; (iv) acquisition, construction and improvement of streets, roadways, rights -of -way and related facilities; (v) entry Resolution No. Heirloom — Pll:Creation Resolution Page 2 of 5 monumentation and features, (vi) si age; (vii) projects similar to those listed in subsections (i) - (vi) above; and (viii) payment of costs associated with constructing and financing the Authorized Improvements listed in subparagraphs (i) - (vi) above, including costs of establishing, administering and operating the District. (c) Estimated Costf the Proposed Authorizedve e s. The estimated cost of the proposed Authorized Improvements shall not exceed ONE HUNDRED TWENTY MILLION U.S. DOLLARS ($120,000,000,00) (including issuance and other financing costs). () Boundaries of the District. The boundaries of the District are set forth i the attached Exhibit " ." (e) Method of Assessment. As will be set forth in more detail in the Service and Assessment Plan and Assessment moll for the District, an assessment methodology will be prepared that will address: (i) how the costs of the Authorized Improvements financed with the assessments are assessed against the property in the District, (ii) the assessments to be collected each year, and (iii) reduction of the assessments for costs savings (pursuant to the annual review of the service plan for theDistrict). Additionally, a report will be prepared showing the special benefits accruing to property in the District and how the costs of the Authorized Improvements are assessed to property on the basis of the special benefits. The result will be that equal shares of the costs will be imposed on property similarly benefited. The assessment methodology will be described in the Service and Assessment Plan and Assessment Roll for the District and will result in each specially benefitted, assessable parcel paying its fair share of the costs of the Authorized Improvements provided with the assessments based on the special benefits received by the property from the Authorized Improvements and property equally situated paying equal shares of the costs of the Authorized Improvements. (f) Apportionment of Cost Between the District and the City. Approval and creation of the District will not obligate the City to provide any funds to finance the proposed Authorized Improvements or any other improvements or costs. All of the costs of the proposed Authorized Improvements will be paid by special assessments levied on the assessed property within the District, by monies provided by the Petitioner, and from other sources of funds, if any, available to the Petitioners. (g) Management of the District. The City will manage the District, or, to the extent allowed by law, the City may contract with either a non-profit or a for -profit entity, to carry out all or a part of the responsibilities of managing the District, including the Resolution No, Heirloom — PID Creation Resolution Page 3 of 5 day-to-day management and administration of the District, preparation of annual updates to the Service and Assessment Plan, budgets, and other tasks associated with the District. O Advisory Board. An advisory board for the District will not be established by the City Council of the City. SECTION4public improvementdistrict to be known as "Heirloom Resolution SECTION . Petitioners (or their successors or assigns) shall petition the City to dissolve the District if public improvement district bonds have not been issued for Authorized Improvements within four () years after the District Creation Date. SECTION 7. City Council hereby authorizes and directs City staff to file a copy of this Resolution with the Williamson County Clerk within seven (7) days of the date of its adoption per Section 372.010(b) of the Act, and to prepare the required notices, resolutions, ordinances, agreements, cost determinations, service and assessment plans, assessment rolls, and all other documents and information necessary for the City Council to levy special assessments on assessed portions of the Property in the District as authorized by the Act and actions of the City Council. SECTION 8. If any section, article, paragraph, sentence, clause, phrase or word in this resolution or application thereof to any persons or circumstances is held invalid or unconstitutional by a court of competent jurisdiction, such holding shall not affect the validity of the remaining portions of this resolutions and the City Council hereby declares it would have passed such remaining portions of the resolution despite such invalidity, which remaining portions shall remain in full force and effect. SECTION . It is hereby officially found and determined that the meeting at which this Resolution was considered was open to the public, and public notice of the time, place and purpose of said meeting was given, all as required by the Texas Open Meetings Act, Chapter 551, Texas Government Code. SECTION . The Mayor is authorized to sign this Resolution and the City Secretary is authorized to attest. General Nature of°the l tol)osed Construction and Maintenance of the Public t o array a12k aj s The general nature of the proposed public "improvements are: (i) the establishment of parks and open space, together with the design, construction and maintenance of any ancillary structures, features or amenities such as trails, pavilions, community facilities, swimming pools; irrigation, walkways, lighting, benches, trash receptacles and any similar items located therein; (ii) landscaping; (iii) acquisition, construction, and improvement of water, wastewater and drainage facilities; (iv) acquisition, construction and improvement of streets, roadways, rights -of -way and related facilities; (v) entry monumentation and features; (vi) signage; (vii) projects similar to those listed in subsections (i) — (vi) above; and (viii) payment of costs associated with constructing and financing the public improvements listed in subparagraphs (i) — (vii) above, including costs of establishing, administering and operating the District. Additionally, report will be prepared showing the special benefits accruing to property in the District and how the costs of the public improvements arc assessed to property on the basis of the special benefits.
